Inhaltsangabe:Problemstellung: Der Absturz wird zur Routine. Seit Mitte März haben die meisten der großen Aktienbörsen der Welt zwischen einem Viertel und mehr als einem Drittel an Wert verloren. (...) Diesmal setzt sich mit den jüngsten Rückgängen ein Trend fort, der seit März 2000 anhält. Grund für diese Entwicklungen sind neben der negativen gesamtwirtschaftlichen Situation vor allem die jüngsten Bilanzskandale großer, internationaler Konzerne. Sie haben das Vertrauen der Anleger in die Vorstände, die Finanzchefs, die Wirtschaftsprüfer, Aufsichtsbehörden, Gesetzgeber und ganz allgemein in die Funktion der weltweiten Kapitalmärkte erschüttert. Sicherlich wurden hier einige Unternehmen zu Recht vom Markt abgestraft. Andererseits sind auch die Kurse von Gesellschaften unter Druck geraten, die positive Fundamentaldaten liefern konnten. Diese Daten konnten lediglich kurzfristig kursstimulierend wirken. In diesem Kontext rückt auch in der Bundesrepublik Deutschland das Instrument des Aktienrückkaufs in den Mittelpunkt des Interesses vieler Unternehmenslenker. Vor dem oben geschilderten Hintergrund ist es Ziel dieser Diplomarbeit, den Erwerb eigener Aktien aus Unternehmenssicht anhand seiner gesetzlichen Rahmenbedingungen, den Erwerbsmotiven und -methoden sowie der bilanziellen Behandlung eigener Aktien beschreibend darzustellen. Im empirischen Hauptteil der Arbeit wird die Ausgestaltung der Rückerwerbsermächtigungen der Gesellschaften analysiert. Insbesondere soll der Fragestellung nachgegangen werden, ob sich bei der Verteilung der Rückkaufmethoden und der explizit genannten Erwerbsmotive Trends an den deutschen Börsensegmenten erkennen lassen. Innovative Konzepte von Erwerbsmethoden und eine branchenbezogene Betrachtung sind ebenfalls enthalten. Die Arbeit konzentriert sich ausschließlich auf deutsche Aktiengesellschaften, die im DAX 30, MDAX, SMAX und dem Neuen Markt notiert sind, während nur am Rande auf entsprechende Aspekte im internationalen Umfeld eingegangen wird. Steuerrechtliche Punkte werden aus Gründen der Übersichtlichkeit nicht ausdrücklich behandelt. Der Aktienrückkauf soll vor dem Hintergrund der gesetzgeberischen Veränderungen des Jahres 1998 untersucht werden, in dem das am 01.05.98 in Kraft getretene Gesetz zur Kontrolle und Transparenz im Unternehmensbereich (KonTraG) unter anderem die seit langem geforderte Liberalisierung des Rückkaufs eigener Aktien durch die Gesellschaft mit sich gebracht hat.
