Vendor's Due Diligence (Sorgfaltsprüfung des Verkäufers), Due Diligence bei Outsourcing oder vor Börsengängen, sondern mit der Käufer Due Diligence der sog. Buy-Side Due Diligence befasst. Hierbei gilt es die Leitfrage "Wie kann ich mein Risiko bei der Unternehmensübernahme minimieren oder gar ausschalten?" zu beantworten und eine mögliche systematische Vorgehensweise bei der Unternehmensübernahmen darzustellen. Dabei wird sich zuerst mit Definition und Herkunft des Begriffs Due Diligence, sowie deren Historischen Werdegang und Potenzial für die Zukunft befasst. Anschließend geht es um die Planung und Durchführung der Due Diligence,. Der Leser soll einen Überblick über die Komplexität der Planung sowie deren Relevanz für den späteren Erfolg einer Due Diligence erhalten und sich ein Bild von der anschließenden Durchführung machen können. In der Schlussbetrachtung soll dann auf mögliche und vorhandene Probleme bei der Due Diligence in Bezug auf die Transaktion eingegangen werden.

Ziel einer Due Diligence ist die Bewertung des Analyseobjekts, um eventuelle Chancen und Risiken noch vor der geplanten Transaktion zu erkennen und somit, die meist erheblichen finanziellen Aufwendungen solcher Transaktionen abzusichern. Eine Due Diligence unterteilt sich in mehrere Teilbereiche, die im Folgenden noch näher behandelt werden. (vgl. Scott, C. in [3], S.14) 1.1. Herkunft des Begriffes Due Diligence Die Herkunft des Due Diligence- Konzeptes ist im US-amerikanischen Kapitalmarktrecht, dem Security Act von 1933 und dem Security Exchange Act von 1934, begründet. Im Security Exchange Act wird die Due Diligence ähnlich der heute üblichen Anwendung des Begriffs definiert. Da in den USA bei einem Unternehmenskauf keine gesetzliche Gewährleistungshaftung vorgesehen ist, ist der Käufer eines Unternehmens angehalten eine sorgfältige Prüfung dessen vornehmen. (vgl. Born, K. in [4], S.68) 1.2. Definition „Unter einer Due Diligence ist eine detaillierte und umfassende Analyse eines Unternehmens im Vorfeld einer Unternehmensakquisition, Börseneinführung, Kreditvergabe oder Abfindungszahlung zu verstehen. Sie hat das Ziel eventuelle unternehmensinhärente Chancen und Risiken frühzeitig zu entdecken. How "Aha!" really happens. When do you get your best ideas? You probably answer "At night," or "In the shower," or "Stuck in traffic." You get a flash of insight. Things come together in your mind.
