Inhaltsangabe:Einleitung: Die Konjunkturflaute zerrt an den Kapitalreserven und an den Gewinnen der Unternehmen und macht somit eine Innenfinanzierung vielfach unmöglich. Zugleich verfolgen deutsche Banken aufgrund hoher Ausfallquoten, eigener Gewinnproblematik sowie erwarteter Neuregulierung der Eigenkapitalunterlegung im Zuge von Basel II eine deutlich restriktivere Kreditpolitik. Zunehmende Unternehmensinsolvenzen im Mittelstand, die zu Forderungsausfällen anderer Unternehmen führen, sowie die Kollapse einst anerkannter Konzerne wie Enron und Worldcom auf internationaler Ebene oder Kirch Media, Fairchild Dornier, Babcock Borsig in Deutschland führen dazu, dass sich der Markt eines bestehenden Kreditrisikos verstärkt bewusst wird. Deutsche Unternehmen werden somit in zunehmendem Maße gezwungen, nach alternativen Finanzierungsformen zu suchen. Außerdem reift bei ihnen die Erkenntnis, dass zur Sicherung der eigenen Liquidität die mit der Verschlechterung von Bonitäten einhergehenden Risiken eines besseren Risikomanagements bedürfen. In neuerer Zeit kommen daher Kreditderivate und Asset-Backed Securities (ABS), welche vormals hauptsächlich im Bankensektor Verwendung fanden, auch in Unternehmen zum Einsatz. Inwieweit nun Kreditderivate und Asset-Backed Securities die „herkömmliche“ Politik der Finanzierung einer Unternehmung verändern und beeinflussen können, und welche Einsatzmöglichkeiten, Probleme und Risiken sich einer Unternehmung dabei bieten, soll Zielsetzung dieser Arbeit sein. An dieser Stelle sei bereits angemerkt, dass beide Finanzmarktsegmente sich durch eine hohe Gestaltungsvielfalt und Innovationskraft auszeichnen. Die Begriffsabgrenzung und Systematisierung der verschiedenen Produktkategorien ist somit immer ein Prozess, der den Entwicklungen am Markt kontinuierlich anzupassen ist. Bei den folgenden, dieser Arbeit zugrunde liegenden Definitionen, handelt es sich somit lediglich um eine Momentaufnahme sowie subjektive Auswahl einer möglichen Abgrenzung. Kreditderivate und Asset-Backed Securities werden in dieser Arbeit seitens des Verfassers zumeist in ihrer, wie in der Literatur häufig definierten, „engsten Form“ gebraucht und verstanden. Die Arbeit gliedert sich in sechs Kapitel. Dieses Kapitel gibt eine kurze Einführung in die Problemstellung, den Gegenstand sowie die Vorgehensweise der Arbeit. We study versions of a general equilibrium banking model with moral hazard under either constant or increasing returns to scale of the intermediation technology used by banks to screen and/or monitor borrowers. If the intermediation technology exhibits increasing returns to scale, or it is relatively efficient, then perfect competition is optimal and supports the lowest feasible level of bank risk. Conversely, if the intermediation technology exhibits constant returns to scale, or is relatively inefficient, then imperfect competition and intermediate levels of bank risks are optimal. These results are empirically relevant and carry significant implications for financial policy.

In today's financial markets, investors no longer hold securities physically. However, there are remarkable conceptual differences between the various jurisdictions with regard to the legal treatment of intermediated securities. It is widely agreed that this patchwork creates considerable legal risks, especially in cross-border situations. Two initiatives are in place to reduce these risks.
