De tempos em tempos, notícias sobre falhas na divulgação de informações por companhias abertas tomam conta dos jornais e desafiam a confiança dos investidores no mercado de capitais. Não por outra razão, a regulação procura estabelecer um regime de transparência, com parâmetros mínimos, a serem observados pelas companhias abertas. Diante de falhas, colocam-se questões como: quem deve ser responsabilizado (companhias abertas, administradores, seus controladores, auditores independentes etc.)? Se há prejuízos sofridos pelos investidores, quem deve indenizá-los? É possível calculá-los com razoável grau de certeza? Há dano indenizável se o preço das ações retoma seu patamar anterior ou até mesmo o supera? De que forma mensurar os alegados danos? Como coibir o oportunismo das partes envolvidas nessa complexa equação de deveres e responsabilidades? (PF)
