"La “casación” es un instituto complejo, que resulta de la combinación de dos elementos recíprocamente complementarios, uno de los cuales pertenece al ordenamiento judicial y encuentra su colocación sistemática en la teoría de la organización de los tribunales cuyo vértice constituye (Corte de casación), mientras que el otro pertenece al derecho procesal y debe ser estudiado en el sistema de los medios de impugnación (recurso de casación). La relación de complementariedad recíproca que media entre estos dos componentes del instituto es característica y constituye en nuestro sistema judicial un ejemplo único: la Corte de casación es un órgano especialmente constituido para juzgar sobre los recursos de casación, de manera que su composición y el procedimiento que ante ella se sigue, están establecidos de tal modo, que respondan a las exigencias procesales propias de la estructura de tal remedio; y, viceversa, el recurso de casación es un medio de impugnación cuyas condiciones están establecidas por la ley procesal de modo que provoquen de parte de la Corte de casación un cierto reexamen limitado, correspondiente a sus especiales fines constitucionales. En un estudio, así sea esquemático, del instituto de la casación, no se puede menos de tomar en cuenta esta relación de complementariedad que media entre los dos elementos componentes; y aunque la presente exposición esté preferentemente dedicada al aspecto procesal del instituto, es decir, más que nada, al recurso de casación, sin embargo, no cabe eximirse, si se quiere dar cuenta de la construcción de este medio de impugnación, de dar alguna referencia sobre la posición constitucional que tiene en el Estado la Corte de casación, así como sobre la finalidad que esta consigue a través de las decisiones sobre los recursos". This book is a comparative law study exploring the piercing of the corporate veil in Latin America within the context of the Anglo-American method. The piercing of the corporate veil is a remedy applied, in exceptional circumstances, to prevent and punish an inappropriate use of the corporate personality. The application of this remedy and the issues it involves has been widely researched in Anglo-American jurisdictions and, until recently, little attention has been given to this subject in Latin America. This region has been through internal political conflicts that undermined economic development. However, rise of democratic governments has created the political stability necessary for investment and economic development meaning that the corporate personality is now more commonly used in Latin America. Consequently, corporate personality issues have become a subject of study in this region. Drawing on case studies from Mexico, Colombia, Brazil and Argentina, Piercing the Corporate Veil in Latin American Jurisprudence examines the ingenuity of Latin American jurisdictions to deal with corporate personality issues and compares this method with the Anglo-American framework. Focusing in particular on the influence of two key factors- legal tradition and the uniqueness of each legal system- the author highlights both similarities and differences in the way in which the piercing of the corporate veil is applied in Latin American and Anglo-American jurisdictions. This book will be of great interest to scholars of company and comparative law, and business studies in general.
