Democratic capitalism-the source of America's vast wealth, the foundation of our entire economic system-is threatened as never before, not from without but from within. Shareholders today no longer own, except in the narrowest legal sense, the corporations they have invested in. Emboldened by the Supreme Court and enabled by a compliant Congress and compromised regulators, America's CEOs have staged a corporate coup d'etat. They, not the titular owners of the businesses, decide where and how company resources will be deployed, what laws will be evaded in the pursuit of short-term gain, what offshore havens profits will be stashed in to avoid taxation, and critically, how lavishly the CEOs themselves will be compensated. Far too much of American business is being run for the personal enrichment and glorification of its manager-kings. This book shows how that happened and unveils, for the first time, a new study showing that corporations "un-owned" by their shareholders-corporate "drones"-are far worse corporate citizens and have significantly lower average shareholder returns than firms in which owners still exercise authority over management. Manager-kings, it turns out, are bad both for society and for business itself.

From angry shareholders to concerned chief executives, almost everyone knows at a gut level that the present political system is not working. This book finds the root cause to be poor corporate governance. In the prequel to this book, The Emperor’s Nightingale, Robert A. G. Monks, one of the world’s foremost shareholder activists, had warned corporations against putting short-profit ahead of long-term value for all stakeholders. Few listened – and the result was system-wide trauma that only bold solutions can heal. In The Emperor’s Nightmare, his latest book, Monks reveals what can happen when corporate leadership abandons the common good to court and conquer a powerful elite. This insightful, honest, and direct portrayal of corporate governance and the surrounding political system will be of immense value to those interested in corporate governance – particularly shareholder and stakeholder advocates, and the true corporate leaders who serve them. In the end, better corporate governance means better democracy. This book shows the way.

Originally publushed in 2002. In Downsizing Democracy, Matthew A. Crenson and Benjamin Ginsberg describe how the once powerful idea of a collective citizenry has given way to a concept of personal, autonomous democracy. Today, political change is effected through litigation, lobbying, and term limits, rather than active participation in the political process, resulting in narrow special interest groups dominating state and federal decision-making. At a time when an American's investment in the democratic process has largely been reduced to an annual contribution to a political party or organization, Downsizing Democracy offers a critical reassessment of American democracy.

Disunited Nations written by Peter Zeihan and has been published by HarperCollins this book supported file pdf, txt, epub, kindle and other format this book has been release on 2020-03-03 with History categories.

Should we stop caring about fading regional powers like China, Russia, Germany, and Iran? Will the collapse of international cooperation push France, Turkey, Japan, and Saudi Arabia to the top of international concerns? Most countries and companies are not prepared for the world Peter Zeihan says we’re already living in. For decades, America’s allies have depended on its might for their economic and physical security. But as a new age of American isolationism dawns, the results will surprise everyone. In Disunited Nations, geopolitical strategist Peter Zeihan presents a series of counterintuitive arguments about the future of a world where trade agreements are coming apart and international institutions are losing their power. Germany will decline as the most powerful country in Europe, with France taking its place. Every country should prepare for the collapse of China, not North Korea. We are already seeing, as Zeihan predicts, a shift in outlook on the Middle East: It is no longer Iran that is the region’s most dangerous threat, but Saudi Arabia. The world has gotten so accustomed to the “normal” of an American-dominated order that we have all forgotten the historical norm: several smaller, competing powers and economic systems throughout Europe and Asia. America isn’t the only nation stepping back from the international system. From Brazil to Great Britain to Russia, leaders are deciding that even if plenty of countries lose in the growing disunited chaos, their nations will benefit. The world isn’t falling apart—it’s being pushed apart. The countries and businesses prepared for this new every-country-for-itself ethic are those that will prevail; those shackled to the status quo will find themselves lost in the new world disorder. Smart, interesting, and essential reading, Disunited Nations is a sure-to-be-controversial guidebook that analyzes the emerging shifts and resulting problems that will arise in the next two decades. We are entering a period of chaos, and no political or corporate leader can ignore Zeihan’s insights or his message if they want to survive and thrive in this uncertain new time.

More than two decades after the post-communist constitutional transition, Hungary got into the spotlight again. As a result of the 2010 elections, the governing majority gained two-thirds of the seats in parliament, which made constitutional revision exceptionally easy, bypassing extensive political and social deliberations. In April 2011, on the first anniversary of the 2010 election, a brand new constitution was promulgated, named the Fundamental Law. This collection is the most comprehensive account of the Fundamental Law and its underlying principles. The objective is to analyze this constitutional transition from the perspectives of comparative constitutional law, legal theory and political philosophy. The authors outline and analyze how the current constitutional changes are altering the basic structure of the Hungarian State. The key concepts of the theoretical inquiry are sociological and normative legitimacy, majoritarian and partnership approach to democracy, procedural and substantive elements of constitutionalism. Changes are also examined in the field of human rights, focusing on the principles of equality, dignity, and civil liberties.

Justin's having the worst trip ever. He and his mother are Time Traders, traveling undercover to different alternate realities of Earth so they can take valuable resources back to their own timeline. In some of these worlds, Germany won World War I or the world has been destroyed by nuclear warfare. Justin and his mother are in an America that never became the United States: each state is like a country, and many of them are at war with one another. Their mission takes them to Virginia, which is on the verge of bloody violence with Ohio. Beckie is from California and, like the rest of her world, is unaware that Time Traders exist. The only reason she's in small-town Virginia is because her grandmother dragged her there to visit old relatives. Beckie is just as horrified by the violence and racism of the alternate Virginia as Justin is, and the two are drawn to each other. But when full-fledged war breaks out between Ohio and Virginia, including a biologically designed plague, will either of them manage to get back home? Forget about home: will they make it out alive?

"Americans are using new strategies and tools to renew democracy and curb unbalanced corporate power. STILL ESSENTIAL: The Citizens United decision continues to distort the electoral process and expand the power of corporations; UPDATED THROUGHOUT: This second edition details both the ruling's expanding damage to democracy and, in an all-new chapter, how citizens can lead the battle against it. The Supreme Court's Citizens United ruling that corporations are people eliminated campaign finance restrictions and dramatically increased corporate power, but attorney Jeff Clements shows how you can fight back. Clements explains the strange history of how the Supreme Court came to embrace a concept that flies in the face of not only all common sense but most of American legal history as well. He shows how unfettered corporate rights will impact public health, energy policy, the environment, and the justice system. In this new edition Clements details Citizens United's ongoing destructive effects-for example, Chevron was able to spend $1 .2 million to influence a single local election in a city of 100,000 people. But he also describes the growing movement to reverse the ruling-since the first edition 16 states, 160 members of Congress, and 500 cities and towns have called for a Constitutional amendment to overturn Citizens United. And in a new chapter, Do Something!, Clements shows how-state by state and community by community-Americans are using new strategies and tools to renew democracy and curb unbalanced corporate power. A plain-English guide to the disastrous practical consequences of the bizarre legal doctrine of corporate personhood enshrined most recently in the Supreme Courts Citizens United decision; Features a constitutional amendment designed to overturn Citizens United and restore the government to the people; Includes a tool kit to help citizens mount a grassroots campaign to pass the Peoples Rights amendment; The January 2010 Supreme Court Citizens United v. Federal Election Commission decision marked a culminating victory for the legal doctrine of corporate personhood. Corporations, as legal persons, are now entitled to exercise their alleged free-speech rights in the form of campaign spending, effectively enabling corporate domination of the electoral process. Jeffrey Clements uncovers the roots, expansion, and far-reaching effects of the strange and destructive idea, which flies in the face of not only all common sense but, Clements shows, most of American legal history, from 1787 to the 1970s. He details its impact on the American political landscape, economy, job market, environment, and public healthand how it permeates our daily lives, from the quality of air we breathe to the types of jobs we can get to the politicians we elect. Most importantly, he offers a solution: a constitutional amendment to reverse Citizens United and tools readers can use to mount a grassroots drive to get it passed. Overturning Citizens United is not about a triumph of one political ideology over another, it's about restoring the democratic principles on which America was built. Republican president Theodore Roosevelt and conservative Supreme Court Chief Justice William Rehnquist both vocally opposed the idea of corporate personhood. Community by community, state by state, we can cross party and ideological lines to form a united front against unchecked corporate power in America and reinstate a government that is truly of, by, and for the people."--
