Tenemos el gusto de presentar a la comunidad jurídica y económica de habla hispana la versión en lengua española de las Cláusulas modelo para el uso de los Principios Unidroit sobre los Contratos Comerciales Internacionales, elaboradas en el año 2013 por el Instituto Internacional para la Unificación del Derecho Privado (UNIDROIT). Con estas cláusulas modelo se busca ofrecer una herramienta útil y práctica para determinar con claridad el papel que los contratantes quieren que cumplan los Principios UNIDROIT en su contrato o en una eventual controversia surgida de este. En especial, en el ámbito de ordenamientos jurídicos, que tradicionalmente han sido reticentes ante la posibilidad de que las partes elijan la ley de su contrato, y más aún, que elijan un derecho no vinculante (soft law) –de forma más flexible en materia de arbitraje, de manera más rígida cuando una controversia debe ser decidida por jueces nacionales–, las cláusulas modelo permitirán a los contratantes ganar certeza y previsibilidad respecto de las reglas que se aplicarán a sus contratos y, así, reducir los costos de transacción y de eventuales litigios, gracias a la transparencia que ofrecen estas cláusulas respecto a su finalidad, sus alcances y sus efectos en cada una de las hipótesis previstas.
