O crédito é um elemento essencial para a vida moderna em sociedade, sendo difícil imaginar uma sociedade que se desenvolva sem operações que envolvam negócios de crédito. Estes negócios devem ser entendidos como relações jurídicas de confiança para a troca de valore atuais por valores futuros. Assim, operações que integram o dia a dia de todos, como operações com cartões de crédito, aquisições de insumos e de bens de consumo, só alcançaram o nível que se tem hoje pelo surgimento e desenvolvimento do crédito. Ocorre que, para o crédito se desenvolver, ele precisa ser protegido, ele precisa ser tutelado. Cabe ao direito criar instrumentos jurídicos que protejam a concessão do crédito e, dentre esses instrumentos, surge o tratamento das crises econômica e financeira. Há crise econômica quando uma atividade rende menos do que custa, trabalhando no prejuízo. Já a crise financeira ocorre com a incapacidade de se pagar pontualmente as obrigações assumidas. Essas crises trazem efeitos perniciosos para toda a economia e precisam ser solucionadas. No Brasil, a Lei 11.101/2005 é a responsável pelo tratamento legal das crises com os mecanismos da recuperação judicial, da recuperação extrajudicial e da falência. Embora se trate de uma lei, relativamente recente, é certo que ela necessitava de aprimoramentos, como ocorreu em vários outros países que reformaram o seu sistema legal de tratamento da crise empresarial. Dentro dessas linhas mestras, vários projetos existentes foram reunidos no Projeto de Lei 6.229/2005 que foi aprovado na Câmara dos Deputados e no Senado, dando origem à Lei 14.112/2020. A obra trata de todos os temas que foram objeto desta importante alteração legislativa: i) suspensão das execuções, da prescrição e proibição das medidas constritivas; ii) verificação de crédito; iii) recuperação de empresas e falência; iv) conciliação e mediação; v) pedido de recuperação judicial; vi) plano de recuperação judicial; vii) concessão, cumprimento da recuperação judicial e convolação em falência; viii) recuperação especial; ix) atuação do devedor durante a recuperação judicial; x) créditos fazendários na recuperação judicial; xi) recuperação extrajudicial; xii) falência; xiii) recuperação de empresas e falência e, ix) insolvência transnacional.

In much of Latin America, disenchantment and cynicism have set in regarding the quality of elected governments raising the prospect of a new round of democratic erosion and breakdowns. One of the important emerging challenges for improving the quality of democracy resolves around how to build more effective mechanisms of accountability. A widespread perception prevails in much of the region that government officials are not sufficiently subject to routinized controls by oversight agencies. Corruption, lack of oversight, impunity of state actors, and improper use of public resources are major problems in most countries of the region. Dealing with these issues is paramount to restoring and deepening democratic legitimacy. The fundamental question in this volume is how democratic leaders in Latin America can improve accountability while simultaneously promoting governmental effectiveness. These issues have acquired urgency in contemporary Latin America because of heightened public concern about corruption and improper governmental actions on the one hand, yet on the other, uncertainty about the potential tradeoff between tightened accountability of officials and effective policy results. The volume enhances understanding of three key issues. First, it enriches understanding of the state of non-electoral forms of democratic accountability in contemporary Latin America. What are some of the major shortcoming in democratic accountability? How can they be addressed? What are some major innovations in the efforts to enhance democratic accountability? A second contribution of the volume is conceptual. Accountability is a key concept in the social sciences, yt its meaning varies widely form one author to the next. The authors in this volume, especially in the first four chapters, explicitly debate how bet to define and delimit the concept. Finally the volume also furthers understanding of the interactions between various mechanism and institutions of accountability. Many of the authors address how electoral accountability (the accountability of elected officials to the voters) interact with the forms of accountability in which state agencies oversee and sanction public officials.
