This publication is a description of an alternative instrument to the capital contribution in kind. This is an analysis of the contribution in kind to the company Owners’ Equity in the Italian s.r.l. (limited liability company) without prejudice to the credit rating and fiscal benefits guaranteed by capital contribution. It comes to the conclusion that it is possible to have a contribution in kind to the company Owners’ Equity in the s.r.l., without the statuary auditor estimation, with no alteration of credit rating and fiscal benefits of the company. Capital is nowadays deprived of its economic meaning, remaining, leaving all the expensive operations based on capital (onerous capital increments and bonus issues, and real and nominal capital reductions). It is therefore essential that the s.r.l. governance determine alternative instruments for the administration of the company patrimony.

Il presente lavoro descrive uno strumento giuridico contabile alternativo al conferimento a capitale per apportare un bene in natura nella s.r.l. senza perizia di stima. Si analizza quindi il fenomeno dell’apporto a patrimonio di un bene in natura in una s.r.l. senza perizia di stima e senza pregiudizio per il rating bancario ed per i benefici fiscali garantiti dal conferimento a capitale. Si giunge quindi alla conclusione che è possibile apportare un bene immobile in una s.r.l. senza perizia di stima mantenendo inalterati merito di credito e benefici fiscali, poiché, per la società, i creditori, il fisco ed i soci, assume rilievo l’importo complessivo del patrimonio netto e non la sua composizione interna, articolata in riserve e capitale. Pertanto l’impossibilità di utilizzare la riserva formatasi dall’apporto in natura per un aumento gratuito del capitale costituisce una limitazione ininfluente per la società, i creditori, il fisco ed i soci.
