Attraverso la formalizzazione del Contratto di Rete, le imprese possono costituire una Rete d’Impresa e dar vita a collaborazioni tecnologiche e commerciali, volte ad acquisire maggiori livelli di competitività e di innovazione; e ad accedere ad agevolazioni e semplificazioni amministrative, finanziarie e per ricerca e sviluppo. La disciplina di questa forma associativa, nata grazie alla Legge n. 33 del 9 Aprile 2009, è stata successivamente oggetto di numerosi interventi e chiarimenti, tra cui si segnalano i più recenti: Decreto Sviluppo (D.L. 22 giugno 2012, n. 83, convertito dalla L. 7 agosto 2012, n. 134), che ha fornito precisazioni circa la soggettività giuridica del contratto di rete e la responsabilità per le obbligazioni contratte dal rappresentante per l’attuazione del programma comune. Decreto Sviluppo Bis (D.L. 18 ottobre 2012, n. 179, convertito dalla L. 17 dicembre 2012, n. 221), che ha previsto: la possibilità, per i contratti di rete, di partecipare a gare e appalti pubblici; la possibilità, con riferimento alle reti del settore agro-alimentare, di costituire fondi di mutualità tra contraenti, diretti a tutelare le parti da eventuali impreviste variazioni delle condizioni di mercato; alcune novità in tema di pubblicità legale e iscrizione nel Registro delle imprese. Legge di Stabilità 2013 (Legge 24 dicembre 2012, n. 228), che ha introdotto un credito d’imposta per le reti d’impresa che investono in ricerca e sviluppo. Il volume è dedicato in prima battuta ai profili strategici, commerciali e di marketing che suggeriscono l’utilizzo del contratto di rete quale soluzione ideale per lo sviluppo di determinati business. In seguito, vengono analizzati gli aspetti giuridici, fiscali, contabili e finanziari (tra cui in primis quelli che riguardano i finanziamenti agevolati) dell’istituto. La trattazione prosegue con una sezione dedicata a iniziative imprenditoriali e case studies di particolare rilevanza. Conclude il testo un’appendice grafica, che sintetizza in immagini su slides tutta la disciplina del settore, consentendo un apprendimento o un ripasso della materia efficace e agevole.
