Contemporary Issues In Corporate Governance written by Daniel David Prentice and has been published by Oxford University Press on Demand this book supported file pdf, txt, epub, kindle and other format this book has been release on 1993 with Business & Economics categories.

The origins of this book lie in the Second Oxford Law Colloquium held in September 1992 and organized by the Faculty of Law of the University of Oxford and Allen and Overy. The subject of this volume, corporate governance, is one that is currently highly topical but which has a long intellectual pedigree. Ever since the formation of the first joint stock company there has been a continuing debate about the structure of corporate governance and the controls, bothlegal and institutional, that are, or should be, exercised over corporate management. The essays contained in the volume explore the debate from a variety of perspectives, but each keeps in mind that a clear understanding of the wider commercial and financial context is necessary before examining the relevant legal structures and rules. This wider picture is examined at both anational and comparative level, and the attitudes and practices of managers and investors are considered as part of the backdrop to competing theories on corporate governance. The contributors, drawn from the practising and the academic worlds, bring their own specialist knowledge to bear in a volume which will be required reading for all those interested in the subject. Contributors: Robin Leigh-Pemberton, Eddy Wymeersch, Sir Adrian Cadbury, Paul Rutteman, Paul Davies, Lord Alexander of Weedon, Paddy Linaker, Martin Lipton, Alan Paul, Theodor Baums, Geoff Stapledon

Contemporary Issues In Law And Economics written by Thomas J. Miceli and has been published by Routledge this book supported file pdf, txt, epub, kindle and other format this book has been release on 2018-03-08 with Business & Economics categories.

Law and economics is the field of study devoted to understanding laws and legal institutions using the tools of economic theory. This growing subject has become a mainstream area of study in both law schools and economics departments and this book explores the "law and economics" approach to some of the most interesting questions, issues, and topics in law, order, and justice. Contemporary Issues in Law and Economics considers what economists call the "positive" analysis of the law – that is, using economic theory to explain the nature of the law as it actually exists. As part of this approach the author examines questions such as, what is the economic basis for the predominance of negligence rules in tort law? And, what is the explanation for the illegality of blackmail? Furthermore, another set of questions arises where the law seems to depart from the prescriptions of economic theory, and these issues are also examined in this volume. For example, the deeply rooted norm of proportionality between punishments and crimes, and the use of escalating penalties for repeat offenders, are both explored. With self-contained chapters written in a non-technical style, this book offers a rigorous discussion of the above themes while remaining accessible to those without formal legal or economic training. It offers the ideal introduction to the field of law and economics while also providing a basis for students in more advanced courses.

The Making Of The Modern Company written by Susan Watson and has been published by Bloomsbury Publishing this book supported file pdf, txt, epub, kindle and other format this book has been release on 2022-05-19 with Law categories.

This book adopts a historical perspective to highlight, and bring back into focus, the key features of the modern company. A central argument in the book is that legal personhood attaching to an entity containing a corporate fund seeded by shareholders is a direct and inevitable consequence of limited liability and the company's status as a separate legal entity from its shareholders. Management by a board subject to legal duties to the company as an entity that can exist in perpetuity facilitates a long term perspective by the board that can accommodate both shareholder and stakeholder interests. These defining characteristics differentiate the modern company from other business forms. The Making of the Modern Company applies a 21st-century lens to the corporation through its history to identify turning points in its development. It sets out how key features emerged in the course of two separate developmental cycles in English corporate law: first with the English East India Company in the 17th century, and then with general incorporation statutes in the 2nd half of the 19th century. The book's historical perspective highlights that the key features are part of the 'secret sauce' of modern companies. Each cycle coincided with unparalleled periods of economic success associated with corporate activity This book will be of interest to corporate law and governance academics, theorists and practitioners, those who study the company from related disciplines, and anyone who questions why uncertainty still exists about the structure of a legal form that has been described as 'amongst mankind's greatest inventions'.

Critical Company Law written by Lorraine Talbot and has been published by Routledge this book supported file pdf, txt, epub, kindle and other format this book has been release on 2015-08-11 with Law categories.

The second edition of Critical Company Law provides a framework in which to understand how the company functions in society and a thorough grounding in modern legal doctrine. It shows how modern company law is shaped by a multi-layered history of politics, ideology, economics and power. Through the lens of political economic theory the book shows how the company becomes the mechanism through which the state makes political choices about distributing societies’ wealth and through which it responds to economic crises. The current law reflects an economy marked by a disjuncture between the low profits of the productive economy and the high profits of the finance economy. Critical Company Law examines areas of company law to show how they reflect a fragile economy inexorably drawn to social and economic inequality and short-termism. These include: • The Doctrine of Separate Corporate Personality • Groups of Companies and Tort Liabilities • Company Formation and the Constitution • Directors’ Duties and Authority • Corporate Capacity • Shares and Shareholders • Raising and Maintaining Capital • Minority Protection In this uniquely hybrid book the legal topics are treated with detail and clarity, providing an engaging introduction to the key topics required for a student of company law.
