Most books about corporate governance are written for a Western audience. The Boardroom, however, takes a different approach to leadership development by emphasizing the unique socio-cultural and judicial features as well as idiosyncratic board structures in Asia, particularly in an Indonesian context. The principles of good corporate governance are accepted across borders, but the implementation and translation of transparency, fairness, accountability, and responsibility can differ quite distinctly from one country to another. Amidst global competitive turbulence, socio-economic volatility, and geopolitical uncertainty, The Boardroom analyses how Asian boardroom leaders steer organizations and how boards can be more effective. Boardmembers - appointed and entrusted by their owners - are guardians with a fiduciary duty to safeguard an organization and prepare it for a viable and sustainable future. Business managers, investors, academics, students and those interested in doing business in Asia will benefit from The Boardroom’s practical insights and recommendations to improve corporate governance and strengthen competitive advantage. "The Boardroom" - a book written by my predecessor Dr Tanri Abeng and his co-author Prof. Dr. Peter Verhezen who both combine practical experience and academic in-depth research - gives a good overview of what can and should be expected from a board. The authors describe the generic accepted governance principles, but rightfully claim the need to translate them into specific rules and regulations that make sense for Indonesian and other Asian companies. Erick Thohir, The Minister of State-Owned Enterprises of the Republic of Indonesia Understanding the dynamics of successful organizations is like being on a quest. It probably never ends. Organizations are open and social systems that cannot be managed or governed using simple theories and recipes. Hence, this book invites you to start your own leadership journey and become more mindful of your role in the functioning of a company. In International Standardisation of Good Corporate Governance - Best Practices for the Board of Directors the Academy of Directors (AoD) presents a multidisciplinary approach for the governance of a company. The AoD also aims to use the interaction between the academic and the business world to change the environment in which companies work. This task is realised in different ways: by conducting applied scientific research, creating a large pool of professional experience and networking within the AoD, confronting these research results with the practical experience of the members, publishing these results, and organising training programmes. The AoD therefore collaborates very closely with the academic world. The Vlerick School of Management was the co-founder of the AoD, together with a great number of national and international business partners. The foundation of the AoD goes back to the initiative of its president, Mr. L.H. Verbeke (Loeff Claeys Verbeke). He was convinced that the increasing international interest in corporate governance would also affect Belgian companies, but that there was a need for an `indigenous coherent' view of corporate governance. Being at the cross-roads of different cultures and languages and at the same time being a very open economy, Belgium could not simply copy another country's code on good corporate governance. Therefore the initiative was taken to set up a broad international overview of the best practices for the board of directors, which is presented in this volume. This analysis is not only oriented towards the `famous' codes but aims to highlight as well the practical applications and problems faced in implementing these suggestions. Consequently special attention is given to the best practices for family businesses and medium-sized companies.

Finally, a book that brings the vision of truly good governance down to earth. Ram Charan, expert in corporate governance and best-selling author, packs this book with useful tools and techniques to take boards and their companies to a higher level of performance. Charan puts his finger on a growing problem for boards: the disconnect between directors' efforts and their results. The added time and attention boards invest is not translating into better governanceâ??that is, governance that adds value to the business. Boards That Deliver gets beyond the rhetoric of corporate governance reform. It captures the tried-and-true practices used by high-performance boards. In contrast to experts who base prescriptions on number-crunching exercises, Charan identifies the real problems that drain directors' time and suppress their best judgmentsâ??and explains clearly and succinctly how boards can solve those problems. These battle-tested solutions help boards achieve what rules and regulations alone cannotâ??to get succession right, refine a winning strategy, and design a rational CEO compensation package. Good governance requires leadership. Boards That Deliver is the no-nonsense guide for directors and CEOs who are rising to the leadership challenge to make their boards a competitive advantage.

Corporate Governance is the hot topic of the new millennium. Goneare the days when CEOs set agendas and earned 500 times more thanaverage employees. Now, transparency rules. Corporations mustestablish new systems of accountability, and encourage long-termparticipation in decision-making by both shareholders and staff. Those that succeed will be better equipped to create wealth, solvecomplex problems, and compete in global markets. The role of the directorate and the need to ensure an effectiveframework for its accountability to owners is paramount to success. In line with this thinking, Mastering Global Corporate Governanceargues that one of the key responsibilities of the Board isleadership, and that the root of good corporate governance lies inthe strength of a corporate leader. In particular, it focuses ontwo 'burning issues' for senior executives: how can the boards ofglobal companies best lead their companies through the fundamentaldilemmas that face all boards?; and how can Boards, entrusted withultimate responsibility for the way a company exercises leadership, provide that leadership?
