This multi-disciplinary volume provides a critical examination of corporate governance reform in Southeast Asia especially after the Asian financial crisis in 1997. The weaknesses in the corporate sector, such as poor investment structure, weak legal and accounting systems, faulty financial practices, questionable political interventions, are some of the pertinent issues raised by the authors, who include legal specialists, corporate practitioners, economists, and political scientists. Policy measures to improve corporate transparency, institutional accountability, and fiscal prudence are also proposed. The volume provides interested readers and policy-makers in Southeast Asia with the most current research and policy options on corporate governance reform, and advocates more committed and effective governance changes in the future.

The concept of good governance in South Asia poses a challenge at the implementation level, mainly due to ethnocentricity, regional disparities, division between poor and rich, and rural and urban division among the people. Concepts such as decentralization, citizen engagement, lean public service, privatization, autonomy, public-private partnership may work well in developed countries but may not produce the same results in the region where the majority of poor people expect their government to fulfill their basic needs. Governance in South Asia needs to be reformed to ensure that poverty can be reduced, if not completely eradicated. Poor governance and the various means by which governance has fallen short, has led to lack of development and continuance of poverty in South Asian societies. South Asian countries have more or less similar objectives, structures, value systems, cultures, and standards of governance despite different forms of government. The colonial legacy of British administrative system had its impact on centralization. Secrecy, elitism, rigidity, and social isolation is common to all South Asian countries. The post-colonial administrative system is built upon pre-colonial administrative traditions throughout the region. These countries can learn from each other’s experiences. They need to develop an indigenous model to find pragmatic solutions to the challenges of good governance. This book argues that countries in South Asian can achieve good results through good governance if they develop and adopt an indigenous model rather than simply borrowing models and ideas from the West. The Boardroom written by Peter Verhezen and has been published by Walter de Gruyter GmbH & Co KG this book supported file pdf, txt, epub, kindle and other format this book has been release on 2022-08-01 with Business & Economics categories.

Most books about corporate governance are written for a Western audience. The Boardroom, however, takes a different approach to leadership development by emphasizing the unique socio-cultural and judicial features as well as idiosyncratic board structures in Asia, particularly in an Indonesian context. The principles of good corporate governance are accepted across borders, but the implementation and translation of transparency, fairness, accountability, and responsibility can differ quite distinctly from one country to another. Amidst global competitive turbulence, socio-economic volatility, and geopolitical uncertainty, The Boardroom analyses how Asian boardroom leaders steer organizations and how boards can be more effective. Boardmembers - appointed and entrusted by their owners - are guardians with a fiduciary duty to safeguard an organization and prepare it for a viable and sustainable future. Business managers, investors, academics, students and those interested in doing business in Asia will benefit from The Boardroom’s practical insights and recommendations to improve corporate governance and strengthen competitive advantage. "The Boardroom" - a book written by my predecessor Dr Tanri Abeng and his co-author Prof. Dr. Peter Verhezen who both combine practical experience and academic in-depth research - gives a good overview of what can and should be expected from a board. The authors describe the generic accepted governance principles, but rightfully claim the need to translate them into specific rules and regulations that make sense for Indonesian and other Asian companies. Erick Thohir, The Minister of State-Owned Enterprises of the Republic of Indonesia Understanding the dynamics of successful organizations is like being on a quest. It probably never ends. Organizations are open and social systems that cannot be managed or governed using simple theories and recipes. Hence, this book invites you to start your own leadership journey and become more mindful of your role in the functioning of a company. Business And Human Rights In Southeast Asia written by Mahdev Mohan and has been published by Routledge this book supported file pdf, txt, epub, kindle and other format this book has been release on 2014-09-25 with Law categories.

Business and human rights has emerged as a distinct field within the corporate governance movement. The endorsement by the United Nations Human Rights Council of a new set of Guiding Principles for Business and Human Rights in 2011 reinforces the State’s duty to protect against human rights abuses by third parties, including business; the corporate responsibility to respect human rights; and greater access by victims to effective remedy, both judicial and non-judicial. This book draws on the UN Guiding Principles and recent national plans of action, to provide an overview of relevant developments within the ASEAN region. Bridging theory and practice, the editors have positioned this book at the intersection of human rights risk and its regulation. Chapter authors discuss the implications of key case-studies undertaken across the region and various sectors, with a particular focus on extractive industries, the environment, and infrastructure projects. Topics covered include: due diligence and the role of audits; businesses’ responsibilities to women and children; and the mitigation of human rights risks in the region's emerging markets. The book sheds light on how stakeholders currently approach business and human rights, and explores how the role of ASEAN States, and that of the institution itself, may be strengthened. In doing so, the book identifies critical challenges and opportunities that lie ahead for the region in relation to business and human rights. This book will be of excellent use and interest to scholars, practitioners and students of human rights, business and company law, international law, and corporate governance.
