Die Arbeit untersucht die sachliche Reichweite der Stimmverbote und vergleicht § 47 Abs. 4 GmbHG mit den Stimmverboten für geschlossene Kapitalgesellschaften in Frankreich, Großbritannien, Österreich und Spanien. Darauf aufbauend konzentriert sich die Verfasserin auf das umstrittene Stimmverbot bei Vornahme eines Rechtsgeschäfts und stellt anhand der rechtsvergleichenden Analyse und einer systematischen, historischen und teleologischen Auslegung des § 47 Abs. 4 GmbHG der bislang herrschenden Sozialaktslehre eine eigene Konzeption für eine rechtssicher durchführbare Abgrenzung der von einem Stimmverbot betroffenen Rechtsgeschäfte gegenüber. Auch die praxisrelevanten Fragen des Stimmverbots bei Beschlussfassung über den Anstellungsvertrag des Gesellschafter-Geschäftsführers sowie der Abdingbarkeit der Stimmverbote werden erörtert. Den Abschluss bildet die Betrachtung unionsrechtlicher Entwicklungen mit einem Vorschlag für ein Stimmverbot in einer möglichen künftigen Europäischen Privatgesellschaft.

Das Stimmrecht ist eines der zentralen Gesellschafterrechte und ermöglicht die Mitwirkung eines stimmberechtigten Gesellschafters an der Entscheidungsfindung der Gesellschaft mit beschränkter Haftung. Zweck des Stimmverbotes ist es, dem Gesellschafter zu untersagen, sein Stimmrecht auszuüben, wenn ein Interessenskonflikt das Abstimmungsverhalten eines Gesellschafters beeinflussen könnte. Von Gesetzes wegen werden bestimmte Situationen definiert, in welchen typischerweise mit einem solchen Interessenskonflikt zu rechnen ist. Welcher Personenkreis vom Stimmverbot umfasst ist, ist von Gesetzes wegen jedoch nicht derart klar umrissen. Nimmt der Gesellschafter an der Abstimmung teil, obwohl seine Stimmabgabe vom Stimmverbot umfasst ist, ist dessen Stimmabgabe nichtig. Wird der Gesellschafter aufgrund des Vorliegens eines vermeintlichen Befangenheitsgrundes von der Abstimmung ausgeschlossen, so wird Anfechtbarkeit des Beschlusses angenommen. Angesichts dieser nicht ganz unbedeutenden Rechtsfolgen ist die Beurteilung der personellen Reichweite des Stimmverbotes daher von wesentlicher praktischer Bedeutung und soll in der Folge näher beschrieben werden.
