Governing by Committee is the first book-length study to examine decision-making among political executives. It examines sixteen advanced Western and Communist states and shows that collegial and semi-collegial patterns are far more common than is generally assumed. Contrary to the assertions of Max Weber, Baylis contends that modern bureaucracy, with its growing role in policy-making and its intimate association with neocorporatist forms of interest group representation, offers a particularly congenial setting for collegial leadership. A timely study, Governing by Committee opens a new dimension in the comparative study of political executives. Preface This book contains the proceedings of the International Tax Conference on the c- th th mon consolidated corporate tax base (CCCTB) that was held in Berlin on 15 – 16 may 2007. The conference was jointly organised by the German Federal Ministry of Finance, the Centre for European Economic Research (ZEW), Mannheim, and the Max Planck Institute (MPI) for Intellectual Property, Competition and Tax Law, Munich. More than 250 participants from all over Europe and other regions, scholars, politicians, business people and tax administrators, discussed the Eu- pean Commission’s proposal to establish a CCCTB. Three panels of tax experts evaluated the common tax base with respect to structural elements, consolidation, allocation, international aspects and administration. The conference made clear that the CCCTB has the potential to overcome some of the most intriguing problems of corporate income taxation within the Common Market. Common tax accounting rules substantially reduce compliance and administrative costs. Consolidation of a group’s profits and losses effects cro- border loss compensation which removes a major tax obstacle for European cro- border investment. At the same time, tax planning with respect to financing and transfer pricing is pushed back within the European Union. Moreover, as far as the CCCTB applies, member states are able to remove tax provisions that are targeted at cross border tax evasion and that might be challenged by the jurisdiction of the Eu- pean Court of Justice.

For over 20 years, school interventions involving former right-wing extremists have been popular in Germany. In practice, they are advertised and conducted as both civic education and extremism prevention. This book uses an evidence-based and interdisciplinary approach to examine the potentials and challenges of this format. It provides a thematic embedding of German application, a comprehensive review of attributed impact assumptions and the state of related research. Furthermore, this research offers highly valuable, unique and comprehensive insights based on empirical evidence. It thus contributes to a better understanding of the format and its complexity. Overall, the findings give no clear indication that the involvement of former right-wing extremists in schools initiate civic education processes or prevent political extremism. Rather, the investigation found fundamental needs for additional research, modification, and sensitization. In this vein, this book makes a pioneer contribution to quality assurance and evaluation research in civic education and extremism prevention.

Carl Joachim Friedrich wurde bei dieser Analyse - obwohl ihr gelegentlich ein behaviori stisches bias nachgesagt wurde - von einem grossen Prozentsatz der inter viewten Politikwissenschaftler sehr hiiufig zu den bedeutendsten Gelehrten seines Faches geziihlt. Einmalig war die Dauer der wissenschaftlichen Hoch schiitzung, die er in einer Zeit einer immer kurzlebiger werdenden wissen schaftlichen Reputation genoss. Friedrich war neben Lasswell einer der wenigen, die sowohl vor 1945 als auch nach 1945 unter den 15 bedeutendsten 1 Politikwissenschaftlern genannt wurden. Es wird schwer sein, unter den fiinf Voraussetzungen wissenschaftlicher Reputation einen einzelnen Grund ffir die Bedeutung C.J. Friedrichs herauszustellen. Neue Ideen entwickelte Friedrich - so umstritten manche (vor allem in der Totalitarismusforschung) gewesen sein mogen - besonders in der Erfor schung des Konstitutionalismus, des Foderalismus und des Totalitarismus. Seine bekanntesten Beitriige zur Systematisierung der Forschungsergebnisse sind die Werke "Constitutional Government and Democracy" (1937 if.) und "Man and His Government" (1963).

Die im Mai 2004 in Kraft getretene (Übernahme-)Richtlinie enthält ein übernahmerechtliches Vereitelungsverbot und eine Durchgriffsregel, nach der satzungsmäßige Beschränkungen der Übertragung von Aktien gegenüber dem Bieter grundsätzlich keine Wirkung entfalten. In der Schlussphase der Beratungen wurden Vereitelungsverbot und Durchgriffsregel zur Disposition der Mitgliedstaaten gestellt. Damit ergibt sichein nicht leicht zu durchschauendes Zusammenspiel von europarechtlichen Vorgaben, nationaler Umsetzung und Satzungsgestaltung auf Gesellschaftsebene. Dies war Anlass für ein Symposion am 9. November 2005, an dem Experten des Übernahmerechts aus sechs Mitgliedstaaten beteiligt waren, deren Referate in dem vorliegenden Band zusammengefasst sind.
