Unternehmen stehen immer häufiger öffentlich in der Kritik, weil sie sich über ihre Werbung ein grünes Image aufgebaut haben, ohne tatsächlich nachhaltiger zu sein als die Konkurrenz. Schnell wird der Vorwurf des Greenwashings erhoben, und zwar gegenüber Unternehmen jeder Größenordnung und auch branchenübergreifend. Dabei ist Greenwashing nur die negative Kehrseite der an sich zulässigen Werbung mit Umweltvorteilen (Green Claims). Verbraucher benötigen die mit Green Claims transportierten Informationen zur Nachhaltigkeit eines Unternehmens, wenn sie nachhaltiger und umweltbewusster konsumieren wollen. Nachhaltige Kaufentscheidungen können nur auf Basis zutreffender Informationen getroffen werden. Es verwundert daher nicht, wenn Unternehmen sich in ihrer Kommunikation zunehmend auf dieses veränderte Verbraucherverhalten orientieren und das Thema Nachhaltigkeit stärker in den Vordergrund ihrer Werbung stellen. Dabei werden nicht selten die Grenzen des Zulässigen überschritten, wie zahlreiche aktuelle Gerichtsentscheidungen belegen. Auch die Europäische Kommission plant eine Verschärfung der gesetzlichen Regelungen. Wann aber liegt Greenwashing tatsächlich vor und welche Folgen kann es für werbende Unternehmen haben, wenn diese Umweltvorteile bewerben, die nicht oder nicht in der beworbenen Art bestehen? Mit diesen Fragen befasst sich das vorliegende Werk. Es geht dabei nicht nur auf die allgemeinen wettbewerbsrechtlichen Vorgaben ein, sondern wirft auch einen besonderen Blick auf die in diesem Bereich zunehmend stark regulierte Finanzbranche und die dort geltenden Regelungen zum Greenwashing.

In immer kürzer werdenden Abständen sorgen Berichte von Hinweisgeber*innen über Fehlverhalten in Unternehmen für große öffentliche Aufmerksamkeit. Zugleich ist ein globaler Trend zu verzeichnen, Unternehmen für Fehlverhalten stärker zur Rechenschaft zu ziehen. Dies ist Folge eines gesellschaftlichen Wandels, der nicht nur das Leitbild eines "Good Corporate Citizen" postuliert, sondern auch dessen effektive Umsetzung fordert. In Konsequenz vorbezeichneter Entwicklungen hat das Thema "Whistleblowing" in den vergangenen Jahren einen immer höheren Stellenwert im Rahmen der Compliance- und Governance-Struktur von Unternehmen eingenommen und ein funktionierendes Hinweisgebersystem unabdingbar gemacht, um etwaiges Fehlverhalten möglichst frühzeitig zu detektieren, abzustellen und zu ahnden. Bisher gab es indes keinen rechtssicheren Rahmen, an dem sich Unternehmen orientieren konnten. Dies hat sich mit Erlass des HinweisgeberschutzG grundlegend geändert. Ausgehend von der im Jahr 2019 erlassenen Richtlinie (EU) 2019/1937 hat der deutsche Gesetzgeber ein Gesetzeswerk geschaffen, das nicht nur den umfassenden Schutz von Hinweisgeber*innen im deutschen Recht verankert, sondern auch die Vorgaben an interne und externe Meldestellen kodifiziert sowie den Umgang mit Hinweisen ausführlich regelt. Gleichwohl verbleiben bei zentralen Weichenstellungen komplexe und signifikante Fragestellungen, deren praxisgerechte und europarechtskonforme Beantwortung sich der Kommentar zum HinweisgeberschutzG zur Aufgabe gemacht hat.
