Diplomarbeit aus dem Jahr 2005 im Fachbereich BWL - Allgemeines, Note: Gut, Wirtschaftsuniversität Wien, Sprache: Deutsch, Abstract: Einleitung „Deal making is glamorous, due diligence is not.“ (Cullinan/Le Roux/Weddigen, „When to walk away from a deal“, Harvard Business Review, 4/2004, S 96) Dieser simple Satz trägt einen guten Teil zur Aufklärung der Frage bei, warum so viele Unternehmen so viele Unternehmenskäufe durchgeführt haben, durch welche sehr wenig Wert generiert wurde. Insbesondere sobald das so genannte „Merger-Fieber“ ausbricht und viele Unternehmen, oft derselben Branche zugehörig, Ausschau nach potentiellen Übernahmekandidaten halten, um auf diese Weise langfristig steigende Renditen zu gewährleisten, beschränkt sich die Due Diligence Prüfung, auch aufgrund des herrschenden Zeitdrucks, nur allzu oft auf die Untersuchung der Jahresabschlüsse des Zielunternehmens. Dabei tritt die Tatsache in den Hintergrund, dass dies nur einen Teil einer genauen Analyse darstellt, welche die Kompatibilität des Unternehmenskaufs mit der eigenen Strategie und die Fähigkeit, daraus Wert zu schöpfen, zum Inhalt hat.1 Eine Darstellung dieser notwendigen, genauen Analyse und der damit verbundenen Tätigkeiten und Abläufe ist Ziel dieser Arbeit. Es sollen verschiedene Untersuchungsmöglichkeiten, ihre Ergebnisse und deren Einfluss auf die Kaufentscheidung aufgezeigt werden. Ausgehend von einem einleitenden Teil über die Entwicklung der Unternehmenstransaktionen in diesem Bereich, den typischen Ablauf eines Unternehmenskaufs und kritische Aspekte für Erfolg und Misserfolg beginnt mit Kapitel drei der Hauptteil mit einer Definition des Begriffs Due Diligence. Nach der Erörterung diverser möglicher Anwendungsfälle einer derartigen Prüfung und ihrer Funktionen erfolgt die Abgrenzung von ähnlichen Prüfungsvorgängen. Danach beginnt eine Darstellung der Planung einer solchen Untersuchung samt zur Verfügung stehenden Informationsquellen und der Zusammenstellung des Due Diligence Teams. Kapitel vier beinhaltet die verschiedenen Bereiche der Due Diligence Prüfung, wobei je nach Prüfungsumfang und konkretem Fall der eine oder andere Teil weniger zur Geltung kommen wird und sich manche Prüfungsbereiche auch zusammenfassen lassen. So könnte beispielsweise die bilanzielle Due Diligence wohl genauso gut als Teil der finanziellen Prüfung betrachtet werden. Ein Schwerpunkt dieser Arbeit ist der steuerliche Teil der Due Diligence Prüfung, nicht zuletzt aus dem Grund, da dieser einen wichtigen Teil zur Kaufpreisfindung beiträgt und dennoch oftmals zu wenig Berücksichtigung findet.
