Infolge der intensiven Entwicklung der Marktwirtschaft in Polen während der letzten beiden Jahrzehnte hat die Bedeutung der Offenen Handelsgesellschaft als Form der wirtschaftlichen Betätigung erheblich zugenommen. Piotr Tereszkiewicz untersucht zentrale Bestandteile des OHG-Rechts, und zwar Rechtscharakter, Umfang und Inhalt der Gesellschafterhaftung für die Verbindlichkeiten der OHG nach der Regelung des 2001 in Kraft getretenen Gesetzbuches der Handelsgesellschaften.Der Einstieg erfolgt über die traditionell umstrittene Frage der eigenen Rechtssubjektivität der OHG nach polnischem Recht. Die Annahme einer solchen Rechtssubjektivität erlaubt, die Haftung der OHG-Gesellschafter, parallel zur Bürgenhaftung, als ein akzessorisches Einstehenmüssen für eine fremde Schuld zu erklären. Diese These wird in einem weiteren Schritt in Übereinstimmung mit der gesetzlichen Aussage gebracht, wonach die OHG und ihre Gesellschafter dem Gesellschaftsgläubiger gegenüber als Gesamtschuldner haften. Der Autor zeigt, wie das Verhältnis von Gesamtschuld und Akzessorietät nach polnischem Zivilrecht zu verstehen ist. Anschließend untersucht er den subsidiären Charakter der Gesellschafterhaftung gegenüber der primären Gesellschaftshaftung. Schlussendlich analysiert Piotr Tereszkiewicz, wie sich Akzessorietät und Subsidiarität der Gesellschafterhaftung auf den Inhalt dieser Haftung auswirken.Der Autor untersucht bisher ungeklärte Fragen im polnischen Recht durch Heranziehung des Diskussionsstandes der deutschen, der französischen und der schweizerischen Lehre.

This book endeavours to interpret the development of private international law in light of social change. Since the end of World War II the socio-economic reality of international relations has been characterised by a progressive move from closed to open societies.
