Inhaltsangabe:Einleitung: Anläßlich des BGH-Urteils „Bremer Vulkan“ befaßt sich die vorliegende Diplomarbeit mit dem Haftungsproblem des Gesellschafters in der Einmann-GmbH. Anlassgebender Sachverhalt ist der existenzvernichtende Eingriff des Alleingesellschafters in die GmbH. In vergleichender Weise wird auf die Rechtslagen in Österreich und Deutschland eingegangen. Um der Frage nach der Haftung des eingreifenden Gesellschafters auf den Grund zu gehen, werden zunächst die folgenden österreichischen Normen untersucht: § 159 StGB Grob fahrlässige Beeinträchtigung von Gläubigerinteressen; § 69 KO Konkursverschleppung; § 1295 Abs 2 ABGB Schadenersatz; § 61 Abs 2 GmbHG Treuepflichthaftung; § 25 Abs 5 GmbHG analog Geschäftsführerhaftung; anerkannte Fälle der Durchgriffshaftung. Anschliessend folgt eine Kurzdarstellung der wichtigsten Judikate zur Durchgriffshaftung in Deutschland. Der BGH hat sich im „Bremer Vulkan“ Urteil zwar für eine Haftung des Gesellschafters ausgesprochen, schweigt sich aber gleichzeitig über die Anspruchsgrundlagen aus. Dementsprechend verschieden sind die einzelnen Anspruchsmodelle aus der Literatur. Da auch im österreichischen GmbH-Recht eine planwidrige Lücke angenommen werden kann, versucht der Autor in Anlehnung an die deutsche Diskussion und Rechtsprechung Lösungsansätze für das österreichische GmbH-Recht aufzuzeigen. Im Ergebnis spricht er sich für eine Innenhaftung des Alleingesellschafters aus, die auf einem erweiterten Verständnis der Kapitalerhaltungsregeln beruht. Eva-Maria Heberer provides an overview over the history of prostitution in Germany, in which she discusses changes in legislation, in society and its view on prostitution, as well as in the market for commercial sex since 1846. Two different models describing a woman’s decision to engage in sex work are suggested. Both are kept as general as possible and based on universal microeconomic models. The effect of a changing probability of getting caught selling commercial sex is analyzed using the Slutsky decomposition. Relevant variables influencing the supply of sex work are identified and measured using historical and up-to-date data for the state of Hamburg and Germany. Correlations between the variables are described and discussed, allowing to conclude that a higher probability of getting caught led to a lower supply of commercial sex over the years.
