You rarely find a good advice book for directors, since publishers presumably believe that its audience would be small and that, in any case, those sitting on corporate boards ought to know what they are doing. But as the infamous debacles at Enron, Tyco, HealthSouth and other companies show, this isn't always the case. getAbstract.com heartily recommends this book to all corporate board members, even those with long experience. Patrick Dunne provides a useful decision-making framework for resolving common problems. It is enhanced by behind-the-scenes case studies that depict a variety of difficult company decisions and how board members arrived at them - helpful for those facing similar crises. After reading this book, you will have only one dilemma left: deciding which of Dunne's solutions to try first.

A book of practical case studies to help directors on not-for-profit boards to build skills and judgement. Why do people join the boards of not-for-profit organisations? Enthusiastic, altruistic and generous people give their time and effort to make a success of organisations in the arts, sports, health, education, religious and other sectors. The work is unremunerated, yet rewarding; tiring yet energising; risky yet necessary. The reasons for supporting any particular cause are many. So are the events that can, will and do happen inside the boardroom. Events that can see directors jailed, fined, and publicly vilified or praised, respected, and promoted. Good judgment can make the difference. Nobody knows what to expect in the boardroom. Stuff happens. Directors need to react to the circumstances. They need to be aware of the people, the environment and the legal requirements of their role. They need to build success. These organisations are too important to fail. Directors need to guide them towards sustainable success by making the right decisions, in time, every time. Working through the case studies in this book will help directors to make better decisions. Based on real life events in modern not-for-profit organisations these case studies will help directors to identify the key legal and practical issues and craft a winning strategy for their organisation. They are fun to read but seriously educational. Written by an international expert and with contributions from forty board practitioners this book offers practical insights and clear examples to follow.

In the midst of the most severe recession for 80 years there is little need to argue that organizations are beset by dilemmas and paradoxes. Confidence in prevailing business models and in the underlying assumptions underpinning business decisions over many decades has now been shaken. But it is not enough to rail against arrogance and greed. Within their own (flawed) assumptions bankers and corporate leaders were acting rationally. A major reason for the failure to anticipate and warn is that observers of organizations usually tend to view organizations in terms similar to those employed by the people who run them: as rational, sensible and objective, whereas, in fact, they are usually confused and confusing, paradoxical and contradictory entities. Paradox is at the heart of how organizations work (or don’t work) yet the phenomenon has been strangely unstudied. In an age of crisis and uncertainty, dilemmas and paradoxes are especially evident and prevalent. The fascination and the promise of paradox is that there is also a sense that there is a hidden truth entwined within the opposites. This we contend is a challenge for leaders. The ultimate responsibility of leadership is to make sense of these and to handle them in a competent manner. This demands a new mode of leadership. The management of dilemma and paradox it is contended, the essence of leadership today. Paradoxical forces provide a dynamism which, although often experienced as potentially threatening, discomforting and negative can also be exciting, promising and positive. "The assumption that organizations are rational entities is challenged every day in the work environment by a rich reality of asymmetries between conflicting forces, complexity, hidden intentions and paradoxes. Anyone wanting to understand the real forces that govern organizations should read this book. A must read for modern leaders who have the intellectual honesty to lead organisations with open eyes and not with the over simplifications and clichés of the past"--Giovanni Ghisetti, Director Business Transformation, Coca Cola Enterprises Europe "Storey and Salaman’s description of the paradoxes which characterise leadership today is hauntingly accurate. Their intelligent optimism that those dilemmas can be met is as encouraging as it is challenging for those of us who have to do just that. Having read the insights in this book I now understand how their business advice was always so pertinent".--Andy Street, Managing Director of John Lewis

Fedor Chizhov built the first railroad owned entirely by Russian stockholders, created Moscow’s first bank and mutual credit society, and launched the first profitable steamship line based in Archangel. In this valuable book, Thomas Owen vividly illuminates the life and world of this seminal figure in early Russian capitalism. Chizhov condemned European capitalism as detrimental to the ideal of community and the well-being of workers and peasants. In his strategy of economic nationalism, Chizhov sought to motivate merchants to undertake new forms of corporate enterprise without undermining ethnic Russian culture. He faced numerous obstacles, from the lack of domestic investment capital to the shortage of enlightened entrepreneurial talent. But he reserved his harshest criticism for the tsarist ministers, whose incompetence and prejudice against private entrepreneurship proved his greatest hindrance. Richly documented from Chizhov’s detailed diary, this work offers an insightful exploration of the institutional impediments to capitalism and the rule of law that plagued the tsarist empire and continue to bedevil post-Soviet Russia.
