This book brings together African and European experts from a variety of disciplines to examine the origins and current state of the East African Community (EAC). Over the course of the book, the authors analyse the rich tapestry of intraregional relations in East Africa, the EAC’s similarities with the European Union and the future challenges faced by the organisation. Widely regarded as the most advanced and successful regional integration scheme in Africa, the EAC is an intergovernmental organisation consisting of Burundi, Kenya, Rwanda, Tanzania, and Uganda and, since 2016, South Sudan. It is the oldest among Africa’s regional economic communities, and among the continent’s most promising growth areas, with a long history of integration, punctuated by several false starts and traumas that have profoundly affected its body politics. When initially set up, the EAC model bore a striking resemblance to the process undergone by the European Union. The text by a nationally and internationally recognised specialist in Company Law had, over the past 29 years, provided the first comprehensive discussion on the subject in Uganda. Substantially, the text deals with the general features of Company Law, including the law applicable, relevance to society and trends and reform including recent provisions evident in legislation on the concept of the one-man company, the composition of the board of directors, the scope of the abolition of the ultra vires and indoor management rules and the issue of shares bearing in mind capital markets legislation. Following is an analysis of the nature and implications of incorporation, promotion, memorandum and articles of association and their significance. The author then examines corporate finance through allotment of shares, public issue of securities, debentures and borrowing by the company. There follows a presentation of the role of corporate directors and other officials, their capacity to bind the company by their acts and their responsibility in the context of accounting, audit and duties of directors and their enforcement. Following the approach of the Ugandan Companies Act, 2012, which is based on the New Zealand approach, this edition of the book limits discussion of reconstruction and winding up of the company (to be appropriately handled in texts on Insolvency Law) and ends with a discussion of the meetings and proceedings of the company.

The most generic challenge faced by many international courts is the level of obedience by their member states. The EACJ is not an island to this common reflection. Essentially, international courts are influential only when their decisions are easily complied with and executed by member states. If not, as with the case of the EACJ, then, such an international court will always be on the brink of being toothless and ineffective. At the end of each reference, the EACJ delivers a judgment. It also issues interim orders carrying a status similar to that of a court judgment. Member States as well as the Council are bound to implement EACJ judgments without delay. But there are no established mechanisms to ensure compliance in the event that a state refuses to implement a decision against it. Since 2005 the EACJ has dealt with more than 190 matters. What is intriguing in those judgments is tracking the extent to which they have been met with compliance. Member States have not been sanctioned when they have failed to comply with the EACJ's decisions. It is a matter of fact and a matter of principle that the nature of EACJ judgments is declaratory, and this tends to attract noncompliance. The best the Court can offer is to declare violations of the law, give orders for injunctive relief, and award costs to the successful applicants. The costs order depends on the nature of the case. Public interest cases do not attract costs orders.
