Uno de los casos típicos del Derecho de sociedades de capital en los que puede darse una situación de abuso de la mayoría en perjuicio de la minoría consiste en la ausencia o insuficiencia injustificadas de reparto de las ganancias sociales entre los socios en concepto de dividendos. El denominado "atesoramiento de los beneficios" constituye un problema jurídico clásico, conectado con la misma esencia del contrato de sociedad, para el que no parece haberse hallado una solución unitaria y concluyente en los ordenamientos europeos. En entornos societarios menos complejos desde el punto de vista organizativo, donde coexisten elementos personalistas en un modelo capitalista predominante (sociedades cerradas), el conflicto de intereses analizado se manifiesta con toda su crudeza, ante la intrínseca falta de liquidez de la participación social de los socios de minoría. La configuración legal del derecho al dividendo en las sociedades de capital propicia el conflicto, pues su nacimiento se condiciona al acuerdo previo de los socios. El acuerdo de aplicación del resultado debe ser adoptado anualmente en junta general ordinaria y, por tanto, son estos quienes deciden, por mayoría, el destino de los beneficios que se obtengan en cada ejercicio. En la última década, el planteamiento de este clásico conflicto societario resulta afectado en nuestro ordenamiento por diversas modificaciones legislativas con incidencia directa en esta materia. La de mayor trascendencia es, sin duda, el reconocimiento expreso de la falta de reparto (total o parcial) de dividendos, en determinadas condiciones concretamente especificadas, como una causa legal de separación del socio minoritario disidente. La previsión de un derecho legal de separación del socio disconforme con la falta (o insuficiencia) de reparto de dividendos, así como la tipificación expresa del abuso en daño de la minoría como motivo de impugnación de acuerdos sociales, constituyen cambios normativos recientes de gran calado, qu
