The Committee on the Financial Aspects of Corporate Governance, better known as the Cadbury Committee, was set up in May 1991 to address the concerns increasingly voiced at that time about how UK companies dealt with financial reporting and accountability and the wider implications of this. The Committee was sponsored by the London Stock Exchange, the Financial Reporting Council, and the accountancy profession, and published its final report and recommendations in December 1992. Central to these was a Code of Best Practice and the requirement for companies to comply or to explain to their shareholders why they had not done so. The recommendations and the Code provided the foundation for the current system of corporate governance in the UK and have proved very influential in corporate governance developments throughout the world. While academics and practitioners have explored and discussed the developments in corporate governance since 1992, little attention has been paid to the processes of code and policy development. This book explores the origins of the Committee, provides rich insights in to the way in which it worked, and documents the reaction to the publication of the Committee's report. The issues which the Committee addressed are still of great concern: the complex relationships through which corporations are held to account have profound effects on all our lives. The Committee provided a framework for thinking about these issues and established a process through which such thinking could be articulated and continue to evolve. This book represents a major contribution to the history of the development of UK corporate governance in the late twentieth century: the why, how, what, and when of governance development.

This book raises questions about a hallmark mechanism of corporate governance – the use of codes of practice. It undertakes a critical examination of the origins and development of the UK code of corporate governance, which influenced codes devised around the world and practices of organisations well beyond the world of corporations listed on stock exchanges. Much lauded as a model of good governance, its core principles have persisted for almost 30 years. Yet during that time repeated crises in corporate governance have arisen, suggesting that it has not fully addressed the problem it was meant to solve. This book will be valuable reading for scholars working on business ethics, corporate governance, and business history.

Mergers and acquisitions are part of the fabric of business and economic life: they help drive growth in companies of all sizes. Most executives will at some point in their careers experience a takeover, as buyer, seller or intermediary. Yet, despite M&A's obvious attractions, deals often fall short of expectations and, in extreme cases, can go disastrously wrong, with devastating consequences. From their unique perspective as practitioners and researchers, Faelten, Driessen and Moeller have seen it all when it comes to M&A, and they've used this experience to develop their Three Big Mistakes of Deal-Making. Using case studies from a wide range of companies, many household names (Diageo, BMW, Microsoft, Kraft, HP and even Manchester United), and for deals ranging from the highly to the less successful to the downright questionable, Why Deals Fail offers both a commentary on the inexorable tendency for companies to merge, for good or ill, and a guide to the benefits and pitfalls of M&A as a growth strategy. The result is a fascinating insight into why some deals work and why others go awry for anyone interested in how the corporate world works, or contemplating or facing a merger or acquisition themselves.

This book critically considers the relationship between directors, shareholders and auditors in the corporate governance system. Traditionally, company law has been primarily based on this tripartite relationship. This book comprises a series of contributions from authors who argue that there are wider interests which British company law has largely ignored. These include the interests of creditors, employees, consumers, suppliers and the general public. The concept of corporate governance is examined with comparative references to the USA and Canada. Particular reference is made to the Cadbury Committee and its implications for future company law reform. The ethical and sociological dimensions of corporate governance is also fully discussed

Annotation This report points the way to the establishment of trust and the encouragement of enterprise. It marks an important milestone in the development of corporate governance, and I cannot commend it too highly.--Sir Adrian Cadbury, London Recently, in Russia, a large share of the profits of an oil company was siphoned off by its controlling shareholder, leaving the company in debt to its creditors, employees, and the state. In the Czech Republic, millions of small shareholders lost their right to fair capital gains as tunneling schemes by insiders stripped privatized companies of their assets. Increasingly for developing and transition economies, a healthy and competitive corporate sector is fundamental for sustained and shared growth-sustained in that it withstands economic shocks, shared in that it delivers benefits to all of society. Presently, many developing and transition economies lack the supporting institutions and human resources so critical to sound corporate governance. The challenge for them is to adapt systems of corporate governance to their own corporate structures and implementation capacities, public and private, to create a culture of enforcement and compliance. For the first time, this report incorporates a framework that encompasses the widely differing regimes--political, economic, and social-within which corporations carry on their activities around the world. It recognizes the complexity of the concept of corporate governance and therefore focuses on the principles on which it is based.
