Den Ursprung hat der Begriff der Due Diligence (englisch: geschuldeter Fleiß / geschuldete Sorgfalt) im angloamerikanischen Rechtswesen, vor allem in kapitalmarktorientierten Vorschriften. Wesentliche Intention der Due Diligence war und ist die Kompensation fehlender Gewährleistungsrechte im US-amerikanischen Recht. Eine Due Diligence in diesem Sinne verfolgt die Absicht, dem Grundsatz „caveat emptor“ vorzubeugen, nach dem der Käufer durch Erwerb eines Objektes das Mängelrisiko übernimmt. Es gilt, dieses Risiko durch eine im Vorfeld durchgeführte Prüfung des potentiell zu erwerbenden Besitzes zu minimieren. In der Realität stellt sich meist nicht die Frage, ob eine Due Diligence durchgeführt wird, sondern wie umfangreich sie ist. Darüber hinaus gilt die Maxime, dass jeder Vertragspartner die Vorteilhaftigkeit eines Geschäftes selbst vor Vertragsabschluss zu überprüfen hat. Dementsprechend stellt ein Verschweigen oder Vorenthalten essenzieller Informationen durch den Verkäufer nicht automatisch eine Pflichtverletzung desselbigen dar. Durch diese Anforderungen an den potentiellen Käufer ergibt sich in der Praxis die Problematik von informatorischen und zeitlichen Engpässen, welche für die erfolgreiche Durchführung einer Due Diligence und der im Idealfall darauf folgenden Akquisition restriktiv sein können. Eine Überwindung dieser Problematik ist unabdingbar, da die mit einer Unternehmensakquisition verbundenen, oftmals nur schwer kalkulierbaren Risiken von Vorstand und Verantwortlichen im Vorfeld einer Akquisition sorgfältig abzuwägen sind. Ziel dieses Buches ist es, die Bedeutung der Financial Due Diligence als Instrument des Risikomanagements zur Strukturierung und Minderung des Akquisitionsrisikos für den potentiellen Käufer im Rahmen von Unternehmensakquisitionen herauszuarbeiten.

Unternehmenskäufe können als Investitionen betrachtet werden, welche zukünftige Einzahlungen erhöhen oder Auszahlungen reduzieren sollen und somit zu einer Steigerung des Werts des Käuferunternehmens beizutragen vermögen. In regelmäßigen Abständen erreicht die Anzahl der vollzogenen Unternehmensakquisitionen neue Rekordwerte. In der Vergangenheit haben allerdings viele dieser Akquisitionen nicht zu der erhofften Wertsteigerung geführt. In Theorie und Praxis ist das Investitionscontrolling zur Planung, Steuerung und Kontrolle von Investitionen in das eigene Unternehmen allgemein anerkannt und weit verbreitet. Ein äquivalentes Akquisi¬tionscontrolling zur zielgerichteten Planung, Steuerung und Kontrolle von Unternehmenskäufen ist dagegen nur selten Gegen¬stand der wissenschaftlichen Literatur. Größenordnung, Bedeutung und Komplexität der mit Unternehmenskäufen verbundenen Investitionen lassen es jedoch sinnvoll erscheinen, das Akquisitionscontrolling als eigenständigen funktionalen Controllingbereich anzusehen und zur Steigerung der Erfolgswahrscheinlichkeit einer Akquisition einzusetzen. Beim Kauf eines Unternehmens hat die akquirierende Vertragspartei zunächst einen Informationsnachteil, da sie mit dem Zielunternehmen weniger vertraut ist als der Verkäufer. Zur Planung, Steuerung und Kontrolle der mit einem Unternehmenskauf verbundenen Prozesse benötigt der Käufer jedoch detaillierte Informationen über das Akquisitionsobjekt. Zur Lösung dieses Problems wird in der Praxis häufig mit der so genannten Due Diligence-Prüfung eine Untersuchung des Zielunternehmens zur vorvertraglichen Informationsgewinnung durchgeführt. Dieses Buch demonstriert, dass eine Due Diligence-Prüfung als Informations¬beschaffungsinstrument des Akquisitionscontrollings angesehen werden kann. Ferner wird gezeigt, wie und in welchen Bereichen benötigte Informationen gewonnen werden können. Dazu werden auch praxisrelevante, allgemeingültige Handlungsempfeh¬lungen gegeben.

Besondere Beachtung findet dabei die Strukturierung und Minderung etwaiger Akquisitionsrisiken fur den potentiellen Kaufer. Zur Erreichung der Zielstellung werden zunachst die Standards des heutigen Risikomanagements anhand ihrer Zielsetzung, des Risikomanagementprozess sowie der unterschiedlichen Risikoarten charakterisiert. Dies bildet die Basis fur die anschliessende Einordnung der Financial Due Diligence als Teilbereich einer vollstandigen Due Diligence.
