Previous research on the institutional structure of franchising networks (Bri- ley et al. 1991; Lutz 1995; Shane 1998; Lafontaine and Shaw 1999, 2005; - fuso 2002; Penard et al. 2003a,b) does not explain the governance structure of the franchising firm as an institutional entity that consists of two interrelated parts: Residual decision rights and ownership rights. The latter includes not only residual income rights of franchised outlets but also residual income rights of franchisor-owned outlets. Previous studies primarily examines the incentive, signalling and screening effects of fees, royalties and other contractual pro- sions from the point of view of organizational economics (see Dnes 1996 for a review) without taking into account the interactions between residual decision and residual income rights as interrelated parts of the governance structure. This paper fills this gap in the literature. According to the property rights view, de- sion rights should be allocated according to the distribution of intangible kno- edge assets between the franchisor and franchisee and ownership rights should be assigned according to the residual decision rights. Since ownership rights are diluted in franchising networks, the dilution of residual income rights of fr- chised outlets is compensated by residual income rights of company-owned o- lets. Under a dual ownership structure, company-owned outlets compensate the disincentive effect of low royalties for the franchisor, and low royalties strengthen the investment incentives for the franchisee.

Qu'est-ce que l'économie industrielle ? La question aurait sans doute surpris les saints-simoniens du XIXe siècle qui assimilaient volontiers toute l'économie politique à la seule industrie. Mais les temps ont changé et l'économie industrielle ne représente plus aujourd'hui qu'une branche récente de l'analyse économique. C'est ainsi que s'accumulent depuis une vingtaine d'années d'innombrables monographies portant sur les secteurs, les produits et les firmes industrielles, sans qu'il soit possible d'en dégager les premiers éléments d'une théorie. C'est ce paradoxe que met en évidence Jean-Marie Chevalier qui entreprend de discuter les bases méthodologiques de tous ces travaux. Peut-on comprendre la vie des firmes qui constituent le tissu industriel, sans dégager la structure financière des groupes et les relations de pouvoir qu'elle détermine ? Peut-on décrire la stratégie des unités de production, sans définir leur objectif et présenter les règles des jeux auxquels elles participent ? Autant d'interrogations fondamentales qui servent de points de départ à une « reconstruction » de l'économie industrielle entreprise dans cet ouvrage. Il ne s'agit pas pour autant d'une réflexion exclusivement abstraite sur l'objet et les méthodes de l'économie industrielle. Tout au contraire, c'est à travers une analyse précise d'exemples français et étrangers judicieusement choisis que l'auteur développe ses idées et introduit sa conclusion : le domaine de l'économie industrielle est celui même de la politique industrielle. Après un siècle de tâtonnements et d'éclipsés, la voie se trouve donc ouverte aujourd'hui pour une véritable économie politique industrielle. Jean-Marie Chevalier est né en 1941. Chargé de mission au service économique d'E.L.F.-E.R.A.P. de 1966 à 1969, agrégé des facultés de Droit et de Sciences économiques en 1970, il enseigne à Rabat puis à l'université de Grenoble où il collabore à l'institut économique et juridique de l'énergie (I.E.J.E.). Il enseigne actuellement l'économie industrielle à l'université de Paris XIII où il est professeur depuis octobre 1976.
