La monografia esplora la figura (anche e soprattutto nella versione contrattuale) di diritto anglo-americano, recepita pure nei sistemi di civil law quale contratto atipico poiché non accolto ufficialmente dagli ordinamenti di matrice codicistica. Estremamente flessibile, l’escrow è istituto che discende dal sequestro (convenzionale) del diritto romano o almeno l’intento è dimostrarne la derivazione. Considerato come “deposito di garanzia” in generale, esso è impiegato in molti settori e modi differenti anche in relazione allo Stato nel quale trova applicazione. Per esempio, nel Regno Unito è impiegato soprattutto nella versione “escrow software” per la protezione del codice sorgente; negli Stati Uniti vi è un uso predominante dell’escrow nel settore immobiliare (e nel diritto delle successioni); in Italia ha trovato impiego nell’alta finanza, in particolar modo in operazioni di cessione di azioni tra grandi gruppi societari; in Svizzera si è sviluppato l’utilizzo dell’escrow (e dell’escrow agreement) sia nel campo dell’informatica sia nel campo più tradizionale della compravendita immobiliare, per passare attraverso una buona gamma di servizi prestati da banche e fiduciarie; la situazione dei Paesi menzionati rispecchia quella più ampia riscontrata in altri Stati dell’Unione Europea; nel resto del mondo, gli Emirati Arabi e la Federazione Russa hanno promulgato apposite leggi per introdurre e disciplinare questo strumento secolare e al tempo stesso attuale e dal respiro spiccatamente internazionale. Contratto accessorio, atipico, dalla struttura necessariamente trilaterale, l’escrow è uno di quegli strumenti che – come il trust, recepito attraverso la ratifica della convenzione dell’Aja – tende a operare un graduale avvicinamento tra i contrapposti sistemi di common law e civil law. Con la cosiddetta rivoluzione digitale, da ultimo, è inevitabile un cenno alle applicazioni futuribili dell’escrow, che dà vita a escrow accounts in criptovalute, su blockchain; a potenziali nuove forme di crimine informatico; alla sua capacità di essere base delle più recenti e innovative forme di pagamento (come ad esempio Paypal).
