Foundational Principles of Contract Law not only sets out the principles and rules of contract law, it places more emphasis on what the principles and rules of contract law should be, based on policy, morality, and experience. A major premise of the book is that the best way to grasp contract law is to understand it from a critical perspective as an organic, dynamic subject. When contract law is approached in this way it is much easier to grasp and learn than when it is presented simply as a static collection of principles and rules. Professor Eisenberg covers almost all areas of contract law, including the enforceability of promises, remedies for breach of contract, problems of assent, form contracts, the effect of mistake and changed circumstances, interpretation, and problems of performance. Although the emphasis of the book is on the principles and rules of contract law, it also covers important theories in contract law, such as the theory of efficient breach, the theory of overreliance, the normative theory of contracts, formalism, and theories of contract interpretation.

Excerpt from Principles of the Law of Contract The purpose of this book is to give a complete and concise statement of the fundamental principles of the Law of Contract. Practically every principle, as applied by the courts generally in all States, is treated in this volume. It gives the starting point, with citations of the principal cases for further study and research work. The underlying principles of Contract Law are the same in all jurisdictions but the courts in different jurisdictions fre quently vary as to their application in particular instances. NO pretense is made to developing, harmonizing and dis cussing conflicting decisions. A discussion Of the contro verted questions will be found in the cases cited in the text. Their consideration in this work would defeat the very purpose for which it is prepared, - succinctness and a ready reference to leading authorities. Although in the citations a preference is given to New York cases, it is not to be inferred that the law as stated is applicable only to New York. The cited authorities will be found to con tain references to authorities in other jurisdictions. Num erous citations of cases are purposely avoided. The book is in no sense a digest Of contract law. The law of contracts permeates most, if not all, other subjects of legal education. Principles of Contract Law surveys the fundamental legal principles underlying the law of contracts, addressing such customary topics as contract formation, defenses and other doctrines of avoidance, breach and performance, remedies, as well as such other collateral but related topics involving third-party beneficiaries, assignments and delegations. The text addresses the traditional common law principles governing contracts, and yet is accompanied by a steadied discussion of relevant commercial law principles pertaining to the sale of goods under Article 2 of the Uniform Commercial Code. When able to do so, the authors remained loyal to their commitment to utilize time-honored, classic common law cases in their presentment of the subject matter. While this textbook adopts a classical approach to the study of contracts, it is also provides a relevant and robust experience for the aspiring law student. About the Authors: Kevin S. Contract General Principles examines the concepts, principles and rules relating to contracts, and considers the jurisprudentJal, constitutional and social context in which contract law operates. The authors' expert analysis and exposition of the legislative and common-law principles underlying the law of contract provides a rich, illuminating reading experience for legal practitioners, law students and members of the general public with an interest in the subject. The authors explore the theoretical basis and structure of the South African law of contract and discuss the role played by the courts - including discussions of the latest court decisions - in the interpretation and application of these rules and principles. Where the law is not settled divergent opinions are considered and solutions offered, sometimes also with reference to foreign jurisdictions. This fifth edition of Contract General Principles highlights the importance ot the Consumer Protection Act in relation to the construction and conclusion of contracts, while close attention is also paid to the influence of constitutional jurisprudence and the principle of good faith in the formation of binding legal agreements. While the basic approach of the work has been retained, it has been substantially refined and reworked in many chapters.
