Previous research on the institutional structure of franchising networks (Bri- ley et al. 1991; Lutz 1995; Shane 1998; Lafontaine and Shaw 1999, 2005; - fuso 2002; Penard et al. 2003a,b) does not explain the governance structure of the franchising firm as an institutional entity that consists of two interrelated parts: Residual decision rights and ownership rights. The latter includes not only residual income rights of franchised outlets but also residual income rights of franchisor-owned outlets. Previous studies primarily examines the incentive, signalling and screening effects of fees, royalties and other contractual pro- sions from the point of view of organizational economics (see Dnes 1996 for a review) without taking into account the interactions between residual decision and residual income rights as interrelated parts of the governance structure. This paper fills this gap in the literature. According to the property rights view, de- sion rights should be allocated according to the distribution of intangible kno- edge assets between the franchisor and franchisee and ownership rights should be assigned according to the residual decision rights. Since ownership rights are diluted in franchising networks, the dilution of residual income rights of fr- chised outlets is compensated by residual income rights of company-owned o- lets. Under a dual ownership structure, company-owned outlets compensate the disincentive effect of low royalties for the franchisor, and low royalties strengthen the investment incentives for the franchisee.

"More than 540,000 franchised businesses dot the American landscape, ringing up total sales of $758 billion - which equals almost one-third of the nation's retail market." "No doubt about it, franchising is already big business and it's getting bigger every year. (A franchised business opens up every 17 minutes!)" "In this fascinating and thoroughly researched book, Robert and Carrie Shook - two experienced business writers - take you inside the franchising industry to show you how ten of the best-managed franchisors operate and the exact steps to take and to avoid if you're thinking of buying a franchise." "The ten enormously successful franchises they examine include fast-food businesses such as McDonald's, Pizza Hut, and Dunkin' Donuts... service providers like H&R Block, Century 21 Real Estate, Duskin Corp., and ServiceMaster... as well as Midas Mufflers and the 7-Eleven convenience stores. Each franchise is looked at in great depth, making you privy to information rarely divulged to those outside the franchising industry or even to most franchisee-owners." "Among other things, you'll discover what goes on inside the executive suites of these franchise operations... how key decisions are made and the business lessons that can be learned from their blunders; the sort of relationship that exists between each franchisor and its franchisees... training, services, and financing provided; fees and expenses to expect; how well a franchisor communicates with, and how extensively and strongly it supports, unit owners; candid comments from a wide cross-section of franchisees about what it's really like to own and run a particular franchise... how much money you can make, the amount of time you have to put in, the day-to-day problems you face, and anything else you'd ever want to know." "In short, you'll see "from the inside" what it takes to successfully operate various kinds of franchises; if you have the temperament and skills to succeed; and how to avoid every pitfall from inadequate policy manuals to needless restrictions or controls."--BOOK JACKET.Title Summary field provided by Blackwell North America, Inc. Franchisees As Consumers written by Jenny Buchan and has been published by Springer Science & Business Media this book supported file pdf, txt, epub, kindle and other format this book has been release on 2012-11-07 with Business & Economics categories.

Franchising is an increasingly important global business model, but how well protected are franchisees –the people who operate and make any franchise system really work? In this book, the author explores the many different roles that franchisees play in modern business, and their importance to the success of every franchise arrangement. As well as providing a comprehensive overview and analysis of the legal context of modern franchising relationships, and the different measures taken to deal with franchisee concerns, the author examines the “weak links” in contemporary franchising – the areas where franchisees are rarely appropriately protected. Despite all the rhetoric, franchisees remain awkwardly accommodated within the law, and they are in need of attention through improved consumer protection, corporate governance, and business insolvency/bankruptcy laws. Franchisees As Consumers examines why franchisees remain more vulnerable under the law than employees and suppliers, and what can be done about it.

The Economics Of Franchising written by Roger D. Blair and has been published by this book supported file pdf, txt, epub, kindle and other format this book has been release on 2009 with categories.

Franchising combines the comparative advantagesof a business chain's brand recognition and economies of scale with the localdrive and knowledge of the franchisee. This book describes how and whyfranchising works and examines the economic tensions that bring conflict to thefranchisor and franchisees. Drawing on economic literature of the past twentyyears or more, it focuses on the different needs and goals of the franchisorand franchisee. There are two main sources of conflict: (1) some franchises arenot suited for the uniformity entailed by being part of a chain; and (2) lackof alignment between the needs of the franchisor and franchisee. After the introductory chapter, chapter 2 examines myths regarding theextent of growth, financial security afforded by franchising, size offranchised chains, and extent of single-unit franchisee ownership. Chapter 3discusses the financial components of contracts: royalty rates, franchise fees, and advertising fees. Chapter 4 examines franchising as a contractualalternative to vertical integration for franchisors. Franchisors typically mixfranchised and company-owned (vertically integrated) outlets. A set of verticalconstraints that can replicate vertical integration are examined. Argumentsused to explain variation in the terms of franchise contracts are examined, andit is shown how they can explain why franchisors use different levels ofvertical integration. Remaining chapters examine economic motives for areas of conflict betweenfranchisors and franchisees; relevant court cases and legislation are examined.Chapter 5 examines quality control and quality decisions; chapter 6 discussespurchase requirements; chapter 7 explores pricing decisions and priceconstraints; chapter 8 considers outlet location decisions and encroachmentproblems; chapter 9 focuses on conflicts of interest arising from advertisingand promotions; and chapter 10 examines terminations, renewals, and transfersof franchised units. In conclusion, chapter 11 emphasizes that franchising is a well-establishedorganizational form that has proven efficient, especially for the fast-food,hotel, and motel industries. (TNM).
