Naast de wettelijke audit van de jaarrekening heeft de wetgever, onder meer in het Wetboek van vennootschappen, aan de bedrijfsrevisor een aantal andere wettelijke opdrachten gegeven. De naleving van de regels inzake onafhankelijkheid en objectiviteit in de revisorale plichtenleer staan hierbij centraal en zijn gedurende de afgelopen decennia als het ware het DNA van de bedrijfsrevisor geworden. De bedrijfsrevisor is een unieke observator van het economisch leven, zowel op grond van zijn specifieke kennis van de micro-economische werkelijkheid, als op grond van zijn onafhankelijkheid ten overstaan van de eigen belangen van de actoren. Hij is goed geplaatst om adviezen van algemene strekking uit te brengen die een werkelijke waarde voor de belanghebbenden betekenen. Het regelmatige contact van rechters van de rechtbanken van koophandel met de bedrijfsrevisor zijn hiervan een bewijs. De met het beroep van bedrijfsrevisor verenigbare gerechtelijke en buitengerechtelijke opdrachten zijn uiteenlopend en betreffen onder meer de volgende opdrachten die achtereenvolgens worden behandeld: gerechtsdeskundige, vereffenaar, voorlopig bewindvoerder, gerechtsmandataris, ondernemingsbemiddelaar, toegevoegd curator, rechter in sociale zaken, rechter in handelszaken, arbiter en bindende derdenbeslisser, bemiddelaar en speciaal commissaris.

De continuïteit van een onderneming en de revisorale tussenkomst, het centrale thema van onderhavig boek, wordt ingeleid in het eerste hoofdstuk. Het tweede hoofdstuk focust op de probleemstelling en de situering van de continuïteit van de ondernemingen. Het huidig Belgisch vennootschapsrechtelijk kader inzake de aspecten van continuïteit van vennootschappen wordt geanalyseerd in het derde hoofdstuk. Het vierde hoofdstuk zoomt in op artikel 138 van het Wetboek van vennootschappen, de zogenaamde waarschuwingsprocedure. Het van toepassing maken van deze waarschuwingsprocedure op de vzw’s, ivzw’s en stichtingen vormt het onderwerp van het vijfde hoofdstuk. Hoofdstuk zes is specifiek gewijd aan het internationaal normatief kader inzake continuïteit, ISA 570. De recente aanpassingen in de artikelen 10, 12 en 17 van de wet van 31 januari 2009 betreffende de continuïteit van de ondernemingen en de rol van de economische beroepsbeoefenaar maken het onderwerp uit van het zevende hoofdstuk. Hoofdstuk acht schetst de sociale rechten in het kader van de continuïteit van ondernemingen. Het sociaal overleg, de continuïteit van ondernemingen en de rol van de bedrijfsrevisor vormt het onderwerp van het negende hoofdstuk. Hoofdstuk tien behelst de rol van de magistratuur bij de continuïteit van ondernemingen. De Ondervoorzitter van het IBR besluit het boek met de precisering dat de bedrijfsrevisor en de commissaris een leidende rol spelen in het voorkomen van discontinuïteit. Le thème central du présent ouvrage, à savoir la continuité d’une entreprise et l’intervention du réviseur d’entreprises, est présenté dans le premier chapitre. Le deuxième chapitre se concentre sur la problématique et le contexte de la continuité des entreprises. Le cadre actuel en matière de droit des sociétés en Belgique pour ce qui concerne les aspects de la continuité des entreprises est analysé dans le troisième chapitre. Le quatrième chapitre se concentre sur l’article 138 du Code des sociétés, la procédure dite d’alerte. L’application de la procédure d’alerte imposée aux ASBL, AISBL et fondations figure au cinquième chapitre. Le sixième chapitre est spécifiquement dédié au cadre normatif international relatif à la continuité, à savoir la norme ISA 570. Les récentes modifications apportées aux articles 10, 12 et 17 de la loi du 31 janvier 2009 relative à la continuité des entreprises et le rôle du professionnel du chiffre sont détaillés dans le septième chapitre. Le huitième chapitre expose les droits sociaux dans le cadre de la continuité des entreprises. La concertation sociale, la continuité des entreprises et le rôle du réviseur d’entreprises font l’objet du neuvième chapitre. Le dixième chapitre présente le rôle de la magistrature dans la continuité des entreprises. Le Vice-président de l’IRE conclut l’ouvrage en précisant que le réviseur d’entreprises et le commissaire jouent un rôle prépondérant dans la prévention de la discontinuité.
