I patti parasociali sono così diffusi nella prassi societaria da costituire strumento abituale di regolamentazione negoziale dei rapporti tra i soci, pur con la tipica valenza personale e obbligatoria che li distingue dai patti propriamente sociali. E lo sono nelle più diverse società: dalle quotate, il cui governo è pressoché sempre condizionato dagli accordi parasociali, tanto di maggioranza quanto di minoranza, fino alle società chiuse e a compagine sociale anche molto ristretta. L’accordo parasociale è imprescindibile nelle operazioni di private equity, così come nelle joint ventures o, ancora, nelle società “miste” pubblico-privato, ma costituisce anche uno degli strumenti principali di esercizio del c.d. “controllo analogo” nelle società in house ed è il cuore degli accordi di famiglia nelle società a partecipazione familiare, specie allorquando esse assumano quei caratteri di complessità che tipicamente si presentano al secondo o al terzo passaggio generazionale. Ma l’utilità del ricorso al patto parasociale si manifesta tutte le volte in cui si presenti l’esigenza di una regolamentazione pattizia ritagliata su misura in ragione della composizione della compagine sociale e degli interessi e delle aspirazioni dei singoli soci sul piano della partecipazione al governo o della chiusura/apertura della compagine sociale o ancora dell’interesse a una possibile way-out e alla predeterminazione di presupposti e condizioni di un futuro disinvestimento. Anche per questo, quindi, dopo anni di tendenziale agnosticismo normativo, i patti parasociali sono divenuti sempre più frequentemente oggetto di attenzione espressa da parte del legislatore, tanto che la prima parte del volume è dedicata proprio all’obiettivo di estrarre dal sistema una fattispecie generale e, così, di ricavarne una nozione altrettanto generale: fattispecie e nozione che, seppure non coincidenti in modo integrale con le fattispecie speciali delineate nel codice civile e nel testo unico della finanza, ne costituiscono tuttavia una sorta di pre-condizione implicita su base sistematica. In quel contesto ricostruttivo, vengono quindi segnalate ed esaminate una serie di fattispecie di confine e viene elaborata una articolazione schematica che consente, allo studioso così come all’operatore pratico, di aver chiara la distinzione tra patti propriamente parasociali e patti semplicemente extrasociali, non sottoponibili alla medesima disciplina.

A seguito dell’entrata in vigore della Riforma del diritto delle società, quasi tre lustri or sono, la prassi nel settore del private equity e del venture capital ha colto le notevoli possibilità offerte dall’ampliamento dell’autonomia statutaria e dal correlativo arretramento dell’ambito di applicazione delle norme inderogabili, trasformando in clausole statutarie svariate pattuizioni che, in precedenza, venivano usualmente collocate in patti parasociali. Nonostante questa tendenza, lo strumento dei patti parasociali continua ad essere normalmente utilizzato nelle operazioni di private equity e di venture capital. Da qui l’esigenza di ricostruire in questo studio, sulla base dei più recenti contributi della dottrina e della giurisprudenza, lo stato dell’arte delle pattuizioni più importanti utilizzate nella prassi delle suddette operazioni e relative, rispettivamente, al governo della target company, ai limiti alla circolazione delle partecipazioni e al c.d. «diritto di exit». Considerando, in particolare, le ragioni e gli effetti della scelta di una collocazione statutaria piuttosto che parasociale di tali pattuizioni, l’Autore si propone di tracciare delle linee-guida per individuare le clausole che possono essere legittimamente collocate tra i patti sociali, le clausole che possono invece trovare un’utile collocazione solo in un patto parasociale e, infine, le clausole che sono comunque invalide o da disapplicare, in quanto contrarie a norme imperative ovvero dirette a realizzare interessi non meritevoli di tutela secondo l’ordinamento giuridico.

This book argues that modern technology has radically and irretrievably altered our sense of identity and hence our social, political, and legal life. But in modern society, identity and authority have become much more horizontal: people feel freer to choose who they are and to form relationships on a plane of equality. The author examines how modern life centers on human identity seen in terms of race, gender, ethnicity, and religion, and how this new way of defining oneself affects politics, social structure, and the law. He claims that our horizontal society is the product of the mass media -- in particular, television -- which break down the isolation of traditional life and allow individuals to connect with like-minded others across barriers of space and time. As horizontal groups blossom, loyalties and allegiances to smaller groups fragment what seemed to be the unity of the larger nation.
