English summary: Up to now, the interests of the small stockholders in Japan had been given little attention, and the rights of the stockholders were scarcely functioning. However stockholders' rights in Japan are undergoing a change. The reform of corporate law in Japan in 1993 shows that small stockholders as well are prepared to assert their rights. Olaf Kliesow examines the special structure of the Japanese stock corporation, focusing on the reform of corporate law and its consequences. His analysis of 102 derivative suits forms the basis for his study, in which he concludes that the simplification of the procedure of filing a suit has strengthened the position of the small stockholders in Japan considerably. German description: Bislang fanden die Belange der Kleinaktionare in Japan kaum Beachtung und die Rechte der Aktionare waren weitgehend funktionslos. Seit Anfang der 90er Jahre befinden sich die Aktionarsrechte in Japan jedoch im Wandel. Die Reaktionen auf die Aktienrechtsreform von 1993 zeigen, dass auch Kleinaktionare zur Geltendmachung ihrer Rechte bereit sind. Mit dieser Reform vereinfachte der Gesetzgeber die Voraussetzungen fur die Erhebung von Aktionarsklagen - in den USA als derivative suit und in Japan als kabunushi daihyo sosho bezeichnet - deutlich. In der Folge stiegen diese Klagen sprunghaft an und Leitungsorgane sehen sich nun mit zahlreichen Schadensersatzklagen konfrontiert, wobei es in einigen Fallen bereits zu Verurteilungen kam. Olaf Kliesow stellt im ersten Teil seiner Arbeit die besondere Struktur der japanischen Aktiengesellschaft dar. Daran schliesst sich eine Ubersicht der Aktionarsrechte an, die verdeutlicht, dass geschriebenes Recht und soziale Wirklichkeit hier erheblich voneinander abweichen. Des weiteren widmet sich Olaf Kliesow der Aktienrechtsreform von 1993 und ihren Folgen. So werden zum einen die Voraussetzungen der Klageerhebung aufgezeigt, zum anderen werden die Klagen nach materiellen Rechtskriterien in verschiedene Kategorien unterteilt und auf ihre Erfolgschancen hin untersucht. Die Analyse von 102 Gerichtsverfahren dient als Grundlage fur Olaf Kliesows Untersuchung. Er kommt zu dem Ergebnis, dass das vereinfachte Klageverfahren die Stellung der Kleinaktionare in Japan deutlich gestarkt hat.
