Vass and has been published by First Edition Design Pub. this book supported file pdf, txt, epub, kindle and other format this book has been release on 2014-09-15 with Business & Economics categories.

The purpose of this book is to describe how an established technology company or an entrepreneur can use crowdfunding to raise capital from accredited investors. The book is targeted to small private technology companies, usually with less than 10 employees, and with more than 3 years of operational experience. Within the category of equity crowdfunding, there is a sub-category called "accredited investor" crowdfunding, characterized by investments made by investors who expect a profit, and generally will continue to support the enterprise over a longer period of time than the venture capitalist. Generally, the goal for the amount raised would be around $1 million. As is the case for most of the Reg D capital raised in 2012, the use of the capital is for business growth and expansion, in such items as new staff, sales and marketing, and new capital equipment. From a technological point of view, the capital would generally be used to improve an existing product or service, called a sustaining innovation. The book covers the steps and executive or entrepreneur follows to prepare and execute a crowdfunding project. It provides a detailed analysis of the 10 accredited investor crowdfunding websites currently in operation. This book is not about donor-based crowdfunding, or its near cousin, non-accredited investor crowdfunding. This book is intended for CEOs of technology companies and technology entrepreneurs who would like to learn more about this new technique of raising capital.

Equity crowdfunding is a new way for seed stage start-ups to generate initial capital and, as such, raises questions around the choices made by investors within this area. Understanding it is important for investor protection, as investors are generally unaware of the factors that can influence their decisions. However, investing in equity crowdfunding places the investor in a unique decision-making framework, in which resources such as images, videos and storytelling are all mobilized by entrepreneurs and platforms as tools of persuasion. This context thus seems to favor more holistic and emotional decision-making, rather than a process that is rational and analytical. Volume 1 presents a transdisciplinary theoretical analysis, combining different fields within the social sciences, primarily finance, marketing and psychology. In this second volume, an explanatory model is developed on the basis of this theoretical framework, which is then empirically tested using data from laboratory experiments. This book also proposes the original theory of emotional matching, which is both justified and substantiated. It personalizes behavior and offers a new perspective based on project characteristics and investor preferences.

Legal Aspects Of Crowdfunding written by Caroline Kleiner and has been published by Springer Nature this book supported file pdf, txt, epub, kindle and other format this book has been release on 2021-11-05 with Law categories.

This book offers a comparative perspective on 18 countries’ legal regulation of crowdfunding. In the wake of the financial crises of 2008, use of this alternative financing method has increased substantially, in various forms. Whereas some states have adopted tailor-made regimes in order to regulate but also encourage this way of financing projects, allowing loans to be made by non-banking institutions, others still haven’t specifically addressed the subject. An analysis of these diverse legislative stances offers readers a range of legal solutions for managing crowdfunding activities with regard to e.g. protecting investors, imposing limits on project owners, and finally the role and duties of intermediaries, i.e., companies operating crowdfunding platforms. In addition, the content presented here provides a legal basis for states and supranational organizations interested in regulating this phenomenon to achieve more legal certainty.

This book explains how to comply with the federal and states securities regulations when seeking to raise money from private investors for the development, production and/or distribution of a feature or documentary film. Drawing from the experience and expertise of a securities and entertainment attorney who has worked with independent filmmakers for 30 plus years, this resource explores securities law compliance in order to help readers comply with the law and avoid criminal and civil liability, while successfully raising investor funds for their film projects. Readers will gain an understanding of why the securities laws apply to most investor financing transactions, what choices need to be made by the filmmaker, what information needs to be disclosed to prospective investors, how to comply with the SEC’s policy regarding financial projections, what is the appropriate investment vehicle for various forms of investor financing, what limitations are imposed on the use of finders and how to handle the required federal and state notice filings. It is an essential resource for any film student taking a film finance course (or a production course with a film finance component), as well as any independent film producers, entertainment/securities attorneys and film school instructors, who want to be informed about the legal and practical aspects of investor financing of independent films.
