Doch es ist nicht nur beliebt, sondern hat auch eine enorme Bedeutung für die Wirtschaftspraxis: Cash Pooling ist „unverzichtbar“ oder „wichtigster und effektivster Bestandteil eines konzernweiten Cash Managements, das heute nicht mehr wegzudenken sei“. Typisch dafür ist, dass die überschüssige Liquidität der Poolgesellschaften in den Pool fließt, bei Liquiditätsmangel werden die Konzerntöchter wiederrum mit Geld aus dem Pool versorgt. Diese Umbuchungen erfolgen zumeist täglich. Aber nicht nur in einer Insolvenz kann dieses Verfahren Probleme mit sich bringen und auf Kritik stoßen: In den vergangenen Jahren prägte das Cash Pooling als Mittel der Konzernfinanzierung durch diverse Urteile und das MoMiG die Landschaft der Fachliteratur. Grund dafür war vor allem das Novemberurteil des BGH, welches die Cash Pooling Praxis vor erhebliche Schwierigkeiten stellte und zu einer „Renaissance der juristischen Diskussion“ führte. Einem befürchteten Untergang des Cash Pooling wirkte der Gesetzgeber aber mit dem MoMiG entgegen, welches die konzerninterne Finanzierung auf rechtssichere Weichen stellen sollte. Diese Arbeit behandelt das Cash Pooling im Rahmen des faktischen GmbH-Konzerns, bei welchem die abhängigen Poolgesellschaften über eine Mehrheitsbeteiligung an die Cash Pool-Betreiberin gebunden ist. Nach einer wirtschaftlichen Betrachtung des Cash Pooling und dessen rechtlicher Qualifikation wird auf die zentrale Frage der rechtlichen Zulässigkeit im Rahmen der Kapitalschutzvorschriften eingegangen. Ziel der Arbeit ist es, die kapitalschutzrechtlichen Grenzen des Cash Pooling näher zu beleuchten und eventuelle Risiken und Haftungsfallen aufzuzeigen.
