Die Unternehmensteuerreform 2008 sowie die Erbschaftsteuerreform 2009 bergen Konfliktpotential nicht nur im Bereich des Steuerrechts, sondern insbesondere auch für das gesellschaftliche Innenverhältnis. Im Vordergrund steht dabei die gesellschaftsrechtliche Treuepflicht, die alle Beteiligten im Innenverhältnis bindet. Sie verdichtet sich unter besonderen Umständen zu Handlungs- bzw. Unterlassungspflichten. Auf der Sekundärebene stellt sich dann die Frage nach Kompensationsansprüchen im Innenverhältnis im Zusammenhang mit steuerlichen Nachteilen.
