English Abstract: The purpose of this work is to summarize the features and role of the judicial adminis trator (amministratore giudiziario) in the context of the procedure pursuant to article 2409 of the civil code and in the light of both the scarce discipline and the richjurisprudence which was formed about this figure over the years. Examining the current regulatory framework, in the “closed” società per azioni the judicial control process shows a gap in terms of protecting minority shareholders from the serious irregularities of corporate bodies. In fact in the listed and “open” società per azioni (s.p.a.) the minority shareholders can avail themselves of the initiative of the pubblico ministero-p.m. (more precisely, in the listed companies also of the initiative of Consob Authority for irregularities of the members of the control body); in the società a responsabilità limitata (s.r.l.) the minority shareholders can avail themselves of the individual action of each shareholder pursuant to article 2476, paragraph 3, of the civil code; moreover, the bankruptcy proceedings reform entered into force on January 14, 2019 has reintroduced the judicial control in all of the società a responsabilità limitata (and has introduced a new article 2476, paragraph 6, according to which the administrators answer to the social creditors for the non-observance of the inherent obligations to the conservation of the integrity of the compa ny's assets, that is a form of indirect protection for minority shareholders).Conversely, in the “closed” società per azioni the minority shareholders do not have any protection, neither indirect as the initiative of the p.m., nor direct as the individual action ex art. 2476, paragraph 3, of the civil code.
