En protégeant les investisseurs étrangers contre l’ « expropriation indirecte » sans définir précisément cette notion, les traités de protection des investissements ont pu apparaître comme une menace pour la liberté normative de l’État et son pouvoir d’agir dans le sens de l’intérêt général. En effet, toute « expropriation indirecte » n’est licite que si elle s’accompagne d’une compensation financière. Pour savoir si un État est tenu de verser une compensation à un investisseur étranger dont les droits se trouveraient affectés par une mesure qui lui est imputable, il est donc nécessaire de déterminer si cette mesure peut être qualifiée, ou non, d’expropriation indirecte. Mais en l’absence d’une définition, la réponse à cette question est très délicate. Les investisseurs ont donc parfois cherché à obtenir une réparation pour des pertes imputables à toute forme de mesure édictée pour la promotion de l’intérêt général affectant leurs intérêts. Or, dans certaines hypothèses, ils ont obtenu la condamnation de l’État auteur de la mesure. Celui-ci s’est donc trouvé dans l’obligation de « payer pour réglementer ». Cette situation pourrait décourager certains États de prendre certaines mesures d’intérêt général, par crainte de se trouver tenus d’indemniser toutes les pertes subies par les investisseurs étrangers qui pourraient en résulter. Cette étude propose donc de mettre en lumière un critère d’identification de l’expropriation indirecte limitant cette menace en apportant le fondement d’un régime juridique de l’expropriation indirecte réservant aux États la marge de manœuvre nécessaire pour assurer la promotion et la protection de l’intérêt général sur leur territoire.

This book explores the interaction between the EU and international investment law, both at the internal level, namely within the EU internal market, and at the external level, i.e. in the context of its relations with third States. The joint treatment of these dimensions reveals that the EU has assumed an ostensibly ambivalent attitude towards international investment law. At the internal level, it has consistently asserted that intra-EU international investment agreements (IIAs) are not compatible with EU law and advocated their termination. At the external level, by contrast, it has eagerly deployed IIAs to develop its post-Lisbon international investment policy. The book finds that beneath this apparent ambivalence towards international investment law ultimately lies the EU's attempt to impose, both internally and externally, its own original model of regulation of cross-border investment. It then argues that the EU adopted this approach with a view to supporting its internal market, enhancing its external influence, and, ultimately, pursuing long-term 'federal aspirations'. Finally, the book identifies the legal and political obstacles that have curtailed the EU's efforts at both the internal and the external level.
