Corporate Governance o gobierno corporativo, vocablos que expresan el tema de moda en el Derecho de sociedades, y si se quiere, en el Derecho comercial y que en nuestro medio, no obstante su longevidad, aún es presentado como novedoso. Lo cierto es que en el Derecho societario nacional el argumento, que ha sido tema central de encuentros académicos y gremiales relacionados con la empresa, aún no ha sido estudiado en la perspectiva de las necesidades que deben cubrir los tipos societarios en nuestro sistema, con particular referencia a la gran sociedad anónima nacional, teniendo en cuenta los requerimientos propios, y no, como hasta el momento pareciera suceder, trasladando soluciones o propuestas surgidas en otros ambientes para la solución de dificultades muy distintas a las que se presentan en nuestra nación. De otra parte, el Derecho comercial colombiano ha venido abordando el tema de las sociedades mercantiles desde una perspectiva que podríamos denominar exageradamente positivista, esto para dar a entender que se han obviado los fundamentos de la disciplina societaria y, lo que es más importante, los paradigmas que subyacen a la normativa que en dicha materia se ha dictado en la historia de nuestro Derecho mercantil. En efecto, nuestra doctrina dedica mayor atención a la solución de problemas prácticos referidos a la constitución, funcionamiento y liquidación de las compañías mercantiles, obviando el estudio acerca de las bases de las soluciones que se proponen, e incluso que se aplican, para la solución de los casos.
