Le football professionnel est marqué par une période appelée le mercato durant laquelle on peut observer le phénomène d'achat et de vente de joueurs par les clubs contre le paiement de sommes d'argent. Ces indemnités de transfert permettent de rémunérer différentes parties, notamment les clubs et les agents. Au début des années 2000, des tierces parties, principalement sous la forme de sociétés d'investissement, sont apparues sur le marché des transferts. Elles ont joué le rôle de banques, en prêtant de l'argent aux clubs en échange d'un pourcentage sur la valeur économique d'un ou de plusieurs joueurs. Cette pratique, appelée " TPO ", est l'objet de la présente étude. Elle comporte une analyse juridique de la pratique sous l'angle du droit suisse et de la réglementation sportive. L'étude passe en revue la construction contractuelle de cette pratique, notamment les clauses qui composent le contrat entre la tierce partie et le club, la validité dudit contrat en droit suisse ou encore le statut du joueur vis-à-vis de ces contrats. L'étude se concentre également sur l'approche réglementaire des fédérations sportives à l'égard des TPO. Nous traitons de l'efficacité actuelle de l'interdiction des TPO et de sa légalité, mais aussi de l'opportunité d'autoriser la pratique en la réglementant. Nos développements tendent à montrer la complexité à mettre en œuvre chacune de ces solutions.

Die vorliegende Dissertation thematisiert die Vermarktung von Sport aus rechtlicher Perspektive. Der Fokus liegt dabei auf der vertraglich gestalteten Beziehung zwischen Inhabern von Sportrechten und Vermarktungsagenturen, die für erstere als Vermittlerinnen tätig sind. Der Verfasser analysiert den Gegenstand der Vermarktung, nämlich die sogenannten Sportrechte und deren rechtliche Einordnung. Auch schliesst die Analyse die hierbei beteiligten Parteien, vor allem die originären Inhaber ebenjener Sportrechte ein. Aufbauend auf diese grundlegenden Erwägungen befasst sich die Dissertation mit den verschiedenen Modellen der Sportvermarktung, und zwar mit dem Vermittlungsmodell, dem Kommissionsmodell und dem Buy-out Modell, wobei ein besonderer Fokus auf dem Vermittlungsmodell liegt. Für dieses wird das vertragliche Verhältnis zwischen Rechteinhabern und Vermarktungsagenturen im Kontext von Mäkler- und Agenturverträgen qualifiziert und in seinem Inhalt analysiert. Beleuchtet werden, ausgehend von den Interessen der beteiligten Parteien, u.a. die vertragliche Erfassung von Themen wie der Tätigkeit der Vermarktungsagentur und deren Kontrolle durch den Rechteinhaber, der Rahmenbedingungen der Vermarktung und von Änderungen derselben, der Vergütung der Vermarktungsagentur, der Dauer und Beendigung der Zusammenarbeit von Rechteinhaber und Vermarktungsagentur sowie von Instrumenten zur Ertragssicherung für den Rechteinhaber. Zentral ist in diesem Kontext jeweils die Frage, inwiefern dem parteiautonomen Interessenausgleich im Rahmen der Vertragsgestaltung durch den zwingend anwendbaren gesetzlichen Rahmen Grenzen gesetzt sind.

It is fair to say, I think, that our lives in the twenty-first century are, in many respects, dominated by the media and sport; and, when combined, they are a very powerful force and mix indeed. Asser Instituut International Sports Law Centre in The Hague, Dr Robert Siekmann, is most certainly both timely and welcome. I am particularly enthusiastic about the fact that a number of esteemed colleagues who are members of the EMR Media Network have been invited to contribute to this collection. The first part of the book consists of several contributions on the very important European Law aspects of sports broadcasting rights in the digital age as well as TV rights relating to major sports events which are both of particular professional interest to me. Without the commercial exploitation of those rights and the resulting spectacular revenues generated, I may add, many sports events would never see the light of day, much to the disappoi- ment of the general public.
