Le passage du GATT à l’Organisation mondiale du commerce (OMC), créée le 1er janvier 1995, marque un véritable tournant dans l’histoire des relations économiques internationales. Contrairement au GATT qui n’était qu’un accord provisoire doté d’un secrétariat, l’OMC est une véritable organisation internationale. Son champ d’intervention, beaucoup plus vaste que celui de son prédécesseur, dépasse pour la première fois les domaines traditionnels du commerce (d’ordre tarifaire et non tarifaire) pour intégrer de nouveaux secteurs des échanges internationaux : les services, la propriété intellectuelle, l’investissement... Par ailleurs, l’OMC bénéficie d’une composition étatique élargie et d’une assise institutionnelle plus solide. En ce qui concerne sa fonction de « tribunal », l’OMC est dotée d’un mécanisme de règlement des conflits plus rapide et plus contraignant que celui du GATT. Le nouveau « gendarme » du commerce planétaire n’a cependant pas la tâche facile. Il doit adapter ses principes constitutifs - la réciprocité, la non-discrimination... - aux grandes mutations économiques, en particulier celles liées à la mondialisation des marchés. Sa réussite dépendra de la politique des grandes puissances commerçantes.

This book is a second, revised edition of the original 1986 publication. Since then, the issue of contract change has increasingly challenged the business community and legal practitioners. The world-wide recession may well have accelerated the need to secure contractual relationships by reasonable flexibility. Successful foreign investment, a relentless challenge, is subject to many unpredictable errors. Of all these variables, however, successful investment is most dependent on the investor-host country relationship, which is the object of the present study. In particular, the pressure by host countries for contract change and its counterpart: the investor's defence of contract stability.
