Cet ouvrage présente des travaux de recherche menés au cours de l'année universitaire 2010-2011 sur le règlement préventif. Lesdits travaux ont gardé toute leur pertinence au regard de l'évolution du droit des procédures collectives en droit OHADA. L'introduction du règlement préventif est indéniablement une avancée dans la politique d'encadrement des entreprises en difficulté dans les Etats-parties au Traité. L'Acte Uniforme portant organisation des procédures collectives d'apurement du passif devait mettre fin à l'insécurité juridique créée par la quasi-inertie des législateurs nationaux en cette matière. Cependant, le bilan de cette procédure judiciaire reste mitigé rares sont les entreprises qui y ont recours, peu nombreux les acteurs économiques qui en apprécient l'utilité, sans compter les multiples obstacles à sa mise en oeuvre. Quelles sont les raisons du bilan en demi-teinte du règlement préventif? Comment accroître son efficacité? Le législateur a t-il suffisamment pris en compte les réalités socio-économiques du continent africain? Ces quelques questions ont servi de fil conducteur à l'auteur.

En France et dans l'espace OHADA, le droit des procédures collectives renvoie aux procédures judiciaires spéciales et dérogatoires par rapport au droit commun réservées au traitement curatif des difficultés des entreprises. D'ordre public, ce droit est destiné à l'entreprise débitrice et à ses créanciers. Conformément aux objectifs poursuivis, les droits et sûretés subissent des atteintes et des restrictions. Mais cette emprise naturelle du droit des procédures collectives sur les sûretés des créanciers est remise en cause. Les nouveaux mécanismes de garantie de créance ont été différenciés des sûretés réelles classiques. Il en résulte une incohérence entre le droit des sûretés et le droit des procédures collectives. Pour y remédier, cette thèse propose l'extension de l'emprise du droit des procédures collectives aux propriétés sûretés.

Fourteenth in a series of annual reports comparing business regulation in 190 economies, Doing Business 2017 measures aspects of regulation affecting 10 areas of everyday business activity: • Starting a business • Dealing with construction permits • Getting electricity • Registering property • Getting credit • Protecting minority investors • Paying taxes • Trading across borders • Enforcing contracts • Resolving insolvency These areas are included in the distance to frontier score and ease of doing business ranking. Doing Business also measures features of labor market regulation, which is not included in these two measures. This year’s report introduces major improvements by expanding the paying taxes indicators to cover postfiling processes—tax audits, tax refunds and tax appeals—and presents analysis of pilot data on selling to the government which measures public procurement regulations. Also for the first time this year Doing Business collects data on Somalia, bringing the total number of economies covered to 190. Using the data originally developed by Women, Business and the Law, this year for the first time Doing Business adds a gender component to three indicators—starting a business, registering property, and enforcing contracts—and finds that those economies which limit women’s access in these areas have fewer women working in the private sector both as employers and employees. The report updates all indicators as of June 1, 2016, ranks economies on their overall “ease of doing business†?, and analyzes reforms to business regulation †“ identifying which economies are strengthening their business environment the most. Doing Business illustrates how reforms in business regulations are being used to analyze economic outcomes for domestic entrepreneurs and for the wider economy. It is a flagship product produced in partnership by the World Bank Group that garners worldwide attention on regulatory barriers to entrepreneurship. More than 137 economies have used the Doing Business indicators to shape reform agendas and monitor improvements on the ground. The controversies that have developed in recent years in the field of education and training around program and competency-based approaches are not without reminiscent of those which are at the origin of a reflection on the question of methods to monitor, control, organize and shape innovation in science and technology "and led to the emergence of the notion of responsibility for innovation and research "(Pellé & Reber, 2015). This book is clearly part of this type of approach. Starting from a current state of play on the issues and controversies raised by curricular and competency-based approaches (Chapters 1 and 2), this book aims at presenting new theoretical frameworks, allowing to account for the processes implied by the implementation of these pedagogical innovations and, in particular, those which, at the very heart of the skills mobilized, promote a "responsibility" dimension.
