La bonne foi est une notion complexe, qui ne peut être enfermée dans une définition unique. Néanmoins, et contrairement à ce qu'il a été prétendu, elle n'en devient pas pour autant insaisissable: la bonne foi peut être appréhendée eu égard à ses rôles, ceux-ci se révélant précieux pour doter la notion de sens. Deux d'entre eux possèdent une importance cruciale. La bonne foi a, d'une part, un rôle procédural. Elle est une norme de comportement qui s'impose aux parties à des négociations ou aux contractants tout au long du processus contractuel. Dans ces hypothèses, la bonne foi procédurale protège la confiance du cocontractant et joue un rôle correctif. La bonne foi a, d'autre part, un rôle substanciel. Ses manifestations sont de deux ordres, annihilateur et créateur. Les termes du contrat doivent refléter une certaine loyauté. Sans s'apparenter à une exigence de proportionnalité, la bonne foi permet de sanctionner certains engagements, car ceux-ci dénotent une irrégularité procédurale matérialisée par un vice substanciel. Bien qu'il soit largement contreversé, le rôle substanciel de la bonne foi est bien réél. Le contenu contractuel est modifié a minima. Le rôle substanciel de la bonne foi conduit, en outre, à l'adjonction d'obligations implicites. Cette fonction complétive doit être distinte de l'article 1135 du Code civil. Les obligations fondées sur la bonne foi assurent la pérennité du lien contractuel. Bien que diversifiés, les rôles de la bonne foi, et les critères que nous proposons pour chacun d'eux, dotent la notion d'une cohérence, favorisant son applicabilité.

La bonne foi est une notion classique du droit français. Pourtant, elle induit une certaine défiance, en raison de sa malléabilité et de la multiplicité de ses occurrences : elle permettrait notamment, pour d'aucuns, une trop grande immixtion du juge dans le contrat. En outre, et malgré les nombreuses études qui lui ont été consacrées, des doutes persistent encore tant sur son acception, que sur son domaine d'application, ou encore sur les évolutions dont elle aura éventuellement à connaître sous l'influence du droit européen. Cet essai d'analyse a pour ambition d'identifier les différents rôles de la notion de bonne foi, et de proposer pour chacun d'eux des critères qui encadrent ses applications. L'auteur attribue deux rôles à la notion, et distingue selon que la bonne foi est une norme de comportement ou qu'elle influe sur le contenu de contrat. Dans son rôle procédural, la bonne foi protège la confiance du cocontractant et endosse une fonction corrective des agissements. Dans son rôle substantiel, la bonne foi permet, en premier lieu et sous certaines conditions, de sanctionner les engagements excessifs en modifiant a minima le contenu du contrat. Elle conduit, en second lieu, à l'adjonction d'obligations implicites, distinctes de celles crées sur le fondement de l'article 1135 du code civil, les obligations fondées sur la bonne foi ayant pour vocation d'assurer la pérennité du lien contractuel. Bien qu'ayant des occurrences multiples, les rôles et les critères identifiés dotent la notion d'une vraie cohérence, favorisant ainsi son applicabilité.
