Existe-il un droit du marché financier en Tunisie ? A priori, on entend par droit du marché financier les règles qui s’appliquent aux activités et aux acteurs du marché financier. Un survol rapide de l’arsenal juridique tunisien en matière de droit des affaires permet de constater la forte présence d’un corpus de règles homogènes encadrant d’une manière détaillée l’activité boursière et ceux qui l’accomplissent. L’ensemble de ces règles se réunissent pour tracer les traits du droit du marché financier en Tunisie. Un droit qui se caractérise par sa particularité, qui tend de plus en plus à la séparation par rapport au droit des sociétés en général, mais qui demeure pour autant non autonome. Certainement, la particularité du droit du marché financier découle des spécificités mêmes de ce droit qui obéissent aux impératifs propres de la bourse à savoir la sécurité, l’efficience et l’efficacité du marché. En effet, contrairement au droit des sociétés en général qui s’intéresse au fonctionnement de la société, et qui a vocation à devenir de plus en plus libéral et souple, la législation boursière qui vise au bon fonctionnement du marché et à la protection de l’épargne publique, reste prédominée par des règles rigoureuses et impératives.

This report assesses the main governance and financing challenges to private sector participation (PSP) in the water supply and sanitation sector of Jordan, and provides ways forward to address them, based on international experience and OECD compendium of principles and good practices. Using the diagnostic analysis of the governance challenges to PSP in the Jordan water sector (Chapter 1), the report identifies ways forward to overcome bottlenecks focusing on three key pillars (Chapter 2): i) managing public-private partnership in a fiscally constrained environment through appropriate budget processes; ii) reducing the regulatory risks through supporting the development of a high-quality framework; and iii)managing and enhancing stakeholder engagement to improve accountability and buy-in. The report also includes an action plan with concrete measures to implement the recommendations proposed in the report. The report has been developed as part of a water policy dialogue conducted by the OECD jointly with the Global Water Partnership-Mediterranean (GWP-Med) in the context of the project labelled by the Union for the Mediterranean (UfM) "Governance and Financing for the Mediterranean Water Sector".

Moral Hazard is a core concept in economics. In a nutshell, moral hazard reflects the reduced incentive to protect against risk where an entity is (or believes it will be) protected from its consequences, whether through an insurance arrangement or an implicit or explicit guarantee system. It is fundamentally driven by information asymmetry, arises in all sectors of the economy, including banking, medical insurance, financial insurance, and governmental support, undermines the stability of our economic systems and has burdened taxpayers in all developed countries, resulting in significant costs to the community. Despite the seriousness and pervasiveness of moral hazard, policymakers and scholars have failed to address this issue. This book fills this gap. It covers 200 years of moral hazard: from its origins in the 19th century to the bailouts announced in the aftermath of the COVID-19 outbreak. The book is divided into three parts. Part I deals with the ethics and other fundamental issues connected to moral hazard. Part II provides historical and empirical evidence on moral hazard in international finance. It examines in turn the role of the export credit industry, the international lender of last resort, and the IMF. Finally, Part III examines specific sectors such as automobile, banking, and the US industry at large. This is the first book to provide an interdisciplinary analysis of moral hazard and explain why addressing this issue has become crucial today. As such, it will attract interest from scholars across different fields, including economists, political scientists and lawyers.
