There is a growing interest in Public-Private Partnerships (PPPs), particularly in infrastructure and public services. Under the scope of PPPs, renegotiations are becoming more relevant, as empirical evidence suggests that most PPP projects are inevitably renegotiated, i.e., the original contract needs to be adapted to new and unforeseen circumstances. Renegotiations have a substantial impact on the contract and performance of a PPP and usually represent significant costs for users and taxpayers. However, very little is known about the management and, mainly, the process of renegotiating that will, very likely, occur. This book provides a set of case-studies of PPP renegotiations in the transport sector. The authors illustrate the Portuguese experience, a country that has been using PPP extensively, particularly in transport. The case studies provide an extensive and detailed analysis on each aspect of the project and the renegotiation. What drives renegotiations? Why are some projects more renegotiated than others? What are the results? How can the performance of renegotiation processes be improved? These and other questions provide the basis for the discussions in this book. The novelty and value of the book come mainly from the extent of information available. Each case-study deals with these questions in much more detail than what is common in the case-studies approach.

Nota prévia: justificação da escolha do tema À escolha do contrato de empreitada de obras públicas como base ou ponto de partida da nossa investigação presidiram as razões ou motivos que, em termos breves, passamos a expor. Em primeiro lugar, por ser um contrato umbilicalmente ligado a uma das actividades historicamente nucleares da Administração, independentemente da época e da concreta forma de Estado - a realização de infra?estruturas públicas. Em segundo lugar, por ser um contrato com uma força irradiante e atractiva: por ser modelar ao nível do regime, quer pela extensa disciplina jurídica de que é, em geral, objecto, quer por ter constituído não apenas a causa genética do surgimento de outras figuras contratuais, mas também por (continuar) a constituir a base para a delimitação conceitual e de regime desses outros contratos - caso exemplar da concessão de obras públicas e de diversas figuras contratuais sob a designação comum de contrato de parceria público?privada -, quer por aquele regime ter constituído, em grande parte, a base do regime substantivo dos contratos administrativos. Em terceiro lugar, por ser o contrato de empreitadas de obras publicas que, em geral, implica avultados investimentos financeiros públicos, estando, por isso, também no epicentro de um direito administrativo-financeiro ou constituindo mesmo, pelas suas implicações financeiras, um dos proeminentes motivos da existência e da modelação conceptual do próprio Direito Administrativo.

Como se comportam as finanças de um Município que implanta uma Parceria Público-Privada (PPP) na área social? A PPP versar sobre educação, com "orçamento carimbado", é mais fácil, mais difícil ou indiferente para a Administração que contrata? Estas foram as perguntas que nortearam a pesquisa que se apresenta neste livro. Para tentar responder a essas perguntas, o estudo analisou as questões orçamentárias e fiscais do projeto de construção e manutenção de unidades de educação infantil e escolas de ensino fundamental de Belo Horizonte, a primeira PPP sobre educação do país. Para isso, a pesquisa evoluiu em duas frentes: na primeira se (re)conta a história dessa contratação, desde as providências pré-licitatórias até o décimo termo aditivo assinado; e, na segunda, se avaliam os aspectos orçamentários e fiscais do município que a implantou. Ainda nessa segunda parte, foram examinadas as leis orçamentárias e os anexos fiscais desde o período pré-contratual até o ano de 2022. Do exame dessas informações foi possível perceber como o contrato influenciou (e foi influenciado) pelos aspectos orçamentários e fiscais do município. Assim, consegue-se perceber como a dicção das questões orçamentárias/fiscais da Lei de PPP se deu na prática, induzindo o desenrolar da contratação e dando a possibilidade de – a partir da atuação efetiva de um município numa contratação dessa tipologia – se mensurar boas práticas e pontos a melhorar acerca do tema orçamentário e fiscal em contratações de PPPs.

This proposed SDN surveys the various accounting stratagems which governments have used to meet fiscal targets—thereby sidestepping the need for true adjustment—and suggests remedial actions to limit this type of fiscal non-transparency. Types of creative accounting covered includes, for instance, currency swaps to hide a debt build-up (as in Greece in 2001–07), sale and leaseback of government property (for example, in the United States), assumption of long-term pension obligations in exchange for short-term revenue (Argentina, Hungary, and other Eastern European countries), use of public-private partnerships to defer the recognition of investment spending (for instance, Portugal), and reliance on non-cash compensation (such as pension rights) to reduce measured wage bills (in the United States, United Kingdom, etc.) As is evident from the examples given, these fiscal tricks have recently come under increased international scrutiny, highlighting the importance of good fiscal reporting, accounting, and transparency in general, for avoiding unpleasant surprises, ensuring government accountability, and containing fiscal vulnerabilities.

EXECUTIVE SUMMARY Portugal’s practices meet most of the principles of the revised Fiscal Transparency Code at good or advanced levels. A number of areas still present practices at a basic level, but in most of these cases this reflects reforms that have recently been launched and have not yet been fully implemented so as to affect current practices. Indeed, if measured against the practices observed prior to the recent financial crisis, there has been remarkable progress. The challenge is to press ahead with the reform agenda so that all fiscal transparency practices meet good or advanced levels, thus strengthening even further the management of public finances and the associated risks. The key findings of the present Fiscal Transparency Evaluation are: • Fiscal reporting is in line with good or advanced practices, particularly in compliance with EU requirements and ESA 95 standards, but still lacks a sound conceptual accounting framework based on internationally accepted standards. • Fiscal forecasting and budgeting have improved over the last three years, although investment evaluation only meets the basic standard of the Code. • Reporting of fiscal risks is in its infancy and in spite of numerous initiatives undertaken in the last few years, such as the publication of a fiscal risk statement, remains fragmented. The large amount and good quality of information available allows a very preliminary and partial estimate of the public sector net worth and total risk exposure. An estimated negative net worth position of 140 percent of GDP (including the liabilities of the main defined-benefits employment-related pension scheme) and a sizeable exposure to various contingent liabilities, although some of these have a low probability of crystallizing, are reminders of the still fragile status of Portugal’s public finances.
