In many countries the banking sector is still highly fragmented, especially in Germany and Italy. EU Banks need to grow in size if they want to be able to compete globally with financial titans such as Citigroup. This study aims at analysing the key drivers and success factors for external growth via Mergers and Acquisitions (M&A) in the European banking sector. After explaining the theoretical background of Mergers and Acquisitions (Chapter 2), the study examines the current condition of the EU banking sector followed by a more detailed view on the main markets and players (Germany, UK, France, Spain, Italy) focussing on their potential role in a future consolidation process (Chapter 3). It seems that important obstacles for consolidation have been removed and banks may indeed engage in domestic and even cross border M&A. A detailed comparison of Europe’s largest banks will complement this section. By analysing paid premiums in the five key European economies, we will draw conclusions on the influence of market structure on the potential for consolidation. In Chapter 4, the Banco Sabadell - Banco Atlantico case is analysed and discussed as an example of a domestic bank merger. Emphasis is put on the logic behind the operation, performance measurement and its strategic impact. The question, if value has been created for shareholders as well as other stakeholders, will be addressed. This recent case (2004) only allows for a preliminary analysis of the success of the transaction, particularly in terms of achieved synergies versus expected synergies. The case evidences typical sources for higher synergies in domestic M&A but reveals also important sources of synergies that would apply in cross border operations. In the final conclusion (Chapter 5), the market analysis is put into perspective to recent developments and briefly compares it with the US Banking market. Key observations from the case study are summarized and finally this section aims at developing different scenarios for a future consolidation within the European banking sector.

The outcome of this century of consolidation is strikingly similar across the continent, with the banking sector of each country now dominated by a handful of giant banking corporations. Consolidation and concentration trends in banking was the theme of the Academic Archive Colloquium of the European Association for Banking History held in Madrid in June 1997. This volume is comprised of the 18 papers and responses presented at the Colloquium by a truly international group of delegates. If one compares the largest banks of the world in 1995 with those at the end of 2000 it is obvious to see that many changes have happened in recent years: In 1995 all top five banks were from Japan (total assets in million USD in brackets): Dai-Ichi Kangyo Bank (626,171), Sumitomo Bank (617,053), Sakura Bank (607,245), Sanwa Bank (600,111) and Fuji Bank (587,154. At the end of 2000 the top five banks ranked by total assets were: Sumitomo Mitsui Banking Corp., Japan (958,189), CitiGroup, USA (902,210), Deutsche Bank Group, Germany (882,577), HSBC Holdings, U.K. (673,814) and Bayerische HypoVereinsbank, Germany (672,720). These newly-formed banking groups arose from mergers and acquisitions (M&As) and therefore they are good examples for all the M&As that have taken place in the banking sector worldwide in recent years. In this scientific paper the M&A activity in the banking sector is being analysed on a global basis and, where appropriate, with a special focus on European activities. To do so, the following procedure has been chosen: After the presentation of typical patterns of consolidation the main causes of consolidation and risks arising from M&As will be examined. Walkner & Raes (2005) claim that cross-border M&As have not been a major feature of the EU banking sector, implying that domestic bank mergers dominated the merger process for a long time. From 1995 to 2006, the number of credit institutions decreased on average my approximately 7% in the eurozone, which was mainly driven by domestic merges. However, since the mid of the 1990s cross-border M&As gained momentum and play a significant role in the European banking consolidation process. Nevertheless, “cross-border M&A has never come close to exceeding domestic mergers and acquisitions” (Kleimeier et al., 2007). Despite the high level of M&A activity in Europe, relatively little research has been conducted dealing with cross-border M&As. Most of prior research applies event study methodology in order to analyze announcement effects of European bank M&As. Further, these studies focus on the question whether bank M&As in Europe have created or destroyed shareholder value. Others try to provide an in depth analysis of the factors that affect and may explain the value creation process. Altunbas et al. (2007) or Beitel et al. (2003) try to explain the M&A success in European bank mergers. However, the results often lack explanatory power. Therefore, this thesis looks at the success of cross-border M&A from a different perspective. The paper aims at understanding whether or not culture plays an important role in the success of M&As. Consequently, the study tries to identify cultural characteristics of bidder and targets, which have explanatory power for bidder returns and the combined effect of both bidder and target. The thesis has several unique features. First, the study conducts an extensive short-term and long-term analysis on cross-border M&As. Second, the results of the event studies are tested by employing accounting studies as well. Third, the thesis provides a real life example of the merger between UniCredit and HypoVereinsbank. This thesis is the first one, which extensively analyzes the following research question: Are cross-border M&As of cultural similar countries more successful?
