Unter Berücksichtigung der hohen Misserfolgsraten stellt sich die Durchführung einer M&A-Transaktion jedoch als eine hochriskante Strategie dar. Aufgrund der gegebenen Problemstellung wird im Zuge der vorliegenden Arbeit die Post Merger Integration als erfolgsbeeinflussender Faktor einer näheren Betrachtung unterzogen, ohne dabei die Bedeutung aller Phasen eines M&A-Prozesses außer Acht zu lassen. Fehler und Versäumnisse in frühen Phasen beeinflussen alle nachgelagerten Aktivitäten, diese sind schwer und i.d.R. nur mit großem Aufwand korrigierbar. Im Zuge der Arbeit werden bestehende theoretische Konzepte zur Post Merger Integration im Allgemeinen und zur Integration von Unternehmenskulturen im Besonderen dargestellt. In der Diskussion zu „harten“ und „weichen“ (Erfolgs-)Faktoren wird deren Bedeutung ebenfalls im Allgemeinen behandelt, um im Speziellen auch erfolgsbeeinflussende Aspekte zur kulturellen und personellen Integration bzw. zur Kommunikation und zur IT-Integration herauszuarbeiten. Durch Heranziehen von empirischen Studien und Fallbeispielen konnten Erkenntnisse der Praxis in die Arbeit eingebunden werden.

Mergers and acquisitions (M&A), the term itself is used for diverse kinds of cooperation between companies, received a lot of public attention during the past dec-ades as several major M&A transactions have been effected. Although during the current worldwide economic struggles the global M&A transaction volume declined, expansion through M&As remains a central corporate growth strategy tool. To merge companies successfully, integration and harmonization processes which require a lot of attention and resources are very important in order to align the previously separate compa-nies' operations, strategies and culture. As only very few M&A transactions generate satisfying results and achieve their strategic and financial objectives, subject of this paper is to determine the requirements for successful post merger integration. After describing the range of motives for companies to engage in M&A, I will explain the challenges and the importance of post merger integration management (PMI) and provide guidelines how it can contribute to make a M&A transaction a success.

Häufig liegt der Grund darin, dass keine substanziellen Verbesserungen bewirkt werden konnten. Aus diesen Gründen liegt die einzig sinnvolle strategische Option in einer aggressiven Wachstumsstrategie und der Schaffung von nachhaltigen Werten. Der weltweite Markt für Unternehmensübernahmen gewinnt kontinuierlich an Bedeutung. Im Jahr 2006 wurden weltweit im Vergleich zum Vorjahr durchschnittlich von 2,5 Mrd. USD um 34% auf 3,5 Mrd. USD mehr M&A-Transaktionen getätigt . Durch die Finanzkrise kam es zwar zu einem Einbruch in der Entwicklung, jedoch wird mittlerweile wieder ein zunehmender Trend von Unternehmensübernahmen beobachtet.

Motive für Fusionen und Akquisitionen sind neben der Allokation freier Ressourcen durch Expansion und Diversifikation (als Alternative zur Ausschüttung an die Aktionäre) insbesondere der steigende Wettbewerbsdruck mit damit einhergehender Marktkonsolidierung und die zunehmende Globalisierung. Auch wenn Unternehmen und deren Manager auf einen immer größeren Erfahrungsschatz bezüglich M&A-Aktivitäten zugreifen können, hat sich offenbar kein Lernkurveneffekt eingestellt, der die Erfolgsraten bei Unternehmensübernahmen verbessert hätte. Zahlreichen empirischen Studien zufolge sind auch heute viele M&A-Transaktionen im Rückblick als Misserfolg zu werten. Sie basieren dabei ihre Einschätzungen auf Analysen von bspw. Geschäftsberichten, Analystenreports und Managerbefragungen. Als Scheitern wird dabei das Nichterreichen von zuvor definierten Erfolgsindikatoren, Akquisitionszielen sowie vorab erwarteten Synergiepotenzialen verstanden. Die dazu in der Literatur genannten Misserfolgsquoten sind wohl unterschiedlich, liegen aber mit 50 und 70% durchgängig sehr hoch. Erfolg ist bei M&A-Aktivitäten also der unwahrscheinlichere Fall. Die Post Merger Integration wird dabei in einer Studie von 53% der Befragten als die kritischste Phase der M&A-Transaktion angesehen, deutlich vor der Due Dilligence, der Verhandlungs- und der Vertragsabschlussphase. Als besonderes Hindernis wird die Schwierigkeit hervorgehoben, unterschiedliche Unternehmenskulturen erfolgreich zu vereinen, welches eine systemimmanente Herausforderung darstellt. Als unternehmenseigener Fehler wird häufig die mangelhafte Kommunikation einer neuen Vision an Mitarbeiter, Kunden, Lieferanten und sonstige Interessensgruppen genannt. Die systematische Durchführung eines M&A-Prozesses kann nur durch ein Zusammenwirken unterschiedlicher Akteure gewährleistet werden. Die Rolle der Organisationsentwicklung, deren Aufgabe die erfolgreiche Gestaltung organisationalem wie individuellem Wandel ist, wird im Zusammenhang mit einer Post Merger Integration in der Literatur nicht explizit benannt und betont. Daher gilt es für diese Ausarbeitung zu definieren, welche Risikofelder in einer Post Merger Integration zu beachten sind und wie diese durch die Unterstützung der Organisationsentwicklung erfolgreich gestaltet werden können.
