Der deutsche Gesetzgeber hält trotzdem für Wertpapiere und Kryptotoken weiterhin an der rechtlichen Konstruktion des Wertpapiers, einer Sache und einer Urkunde fest. Auch im neuen Gesetz über elektronische Wertpapiere werden registrierte Finanzinstrumente (unnötig) zu Sachen und Wertpapieren fingiert. Dieser Ansatz behindert nachhaltig die Weiterentwicklung und Internationalisierung des deutschen Rechts und auch die Harmonisierung des Rechts im Rahmen eines Europäischen Kapitalmarktes. Im Werk werden die Grundlagen zur rechtlichen Konstruktion der Wertpapiere und der registrierten Rechte mit gleicher Bestimmung (Bucheffekten) erforscht. Auf der Grundlage des deutschen und des polnischen Rechts wird eine Theorie entwickelt, die Wertpapiere und Bucheffekte in einem kohärenten System vereint und als Publizitätsmittel darstellt. Sie umfasst gleichermaßen Kryptotoken, Kryptowährungen und sonstige Registerrechte, selbst Non-Fungible Token. Die Theorie eröffnet einen möglichen Weg das deutsche urkundenbasierte System auf ein modernes registerbasiertes System umzustellen.
