Auch hier stellt sich die Frage, welche M”glichkeiten das Stiftungsrecht bietet, um die individuelle Ausgangslage des Unternehmens und der Familie wirtschaftlich zu verbinden. Darber hinaus wirkt das Steuerrecht auf den Nachfolgeprozess ein. Dies sollte nicht auáer Acht gelassen werden, da es eine erhebliche finanzielle Belastung fr das Unternehmen und die Familie darstellen kann. Letztlich k”nnen Konflikte innerhalb der Familie dazu fhren, dass die Nachfolge scheitert. Auch hier gilt es frhzeitig entgegenzusteuern, um eine Liquidation zu vermeiden und damit die Arbeitspl„tze der Mitarbeiter langfristig zu sichern. Das vorliegende Fachbuch soll hierbei als Einstieg in die komplexe Nachfolgefrage dienen.

Der Mittelstand ist der größte Arbeitgeber und Ausbilder in Deutschland. Und mit jeder Unternehmensübergabe besteht die Gefahr, dass alles vom Unternehmer zuvor Geschaffene leichtfertig aufs Spiel gesetzt wird. Entsprechend muss der Unternehmensnachfolge, als dem erfolgskritischen und unumgänglichen Ereignis eines jeden mittelständischen Unternehmens, eine besondere Bedeutung zugemessen werden. Aufgrund der emotionalen Verbundenheit des Unternehmensgründers mit seinem Unternehmen, gestaltet sich die Nachfolgeregelung jedoch als komplexer Prozess. Gerade bei mittelständischen Familienunternehmen wird die Unternehmensnachfolge durch familiäre Interessen zunehmend komplexer. Neben dem Unternehmer, Familienangehörigen, Banken und Angestellten, tut sich eine Vielzahl von Stakeholdern auf, deren Interessen zumindest berücksichtigt, wenn nicht sogar gewahrt werden müssen. Zudem muss die Planung der Unternehmensnachfolge zwangsläufig frühzeitig begonnen werden, da grundsätzlich keine ultimative Nachfolgelösung benannt werden kann und sich die „richtige“ Lösung in der Regel erst nach reichlicher Vorarbeit erkennen lässt. Zudem gilt es auch, die Finanzkraft des Unternehmens nicht durch eine unter Zeitdruck vollzogene Unternehmensnachfolge unnötig zu gefährden. Um hier Hilfestellung zu bieten, werden die wesentlichen familieninternen und –externen Nachfolgemöglichkeiten samt möglicher psychologischer Auswirkungen und Besonderheiten dargestellt und kritisch hinterfragt.

How "Aha!" really happens. When do you get your best ideas? You probably answer "At night," or "In the shower," or "Stuck in traffic." You get a flash of insight. Things come together in your mind.
