Il volume si occupa di analizzare le regole finali di interpretazione del contratto contenute all’art. 1371 c.c., procedendo dapprima ad una ricostruzione in chiave storica dei principi in esso contenuti, siccome veicolati dal diritto romano e intermedio fino al codice civile. Le regole vengono poi inquadrate nel contesto dei criteri di interpretazione oggettiva, per verificarne gli ambiti di applicazione e le possibili interferenze con altri criteri, particolarmente quello di buona fede di cui all’art. 1366 c.c. e quello di conservazione di cui all’art. 1367 c.c. Da ultimo, l’analisi si concentra sugli orientamenti nella giurisprudenza in tema, per verificare l’utilizzo della norma da parte di questa; segue una prospettiva comparatistica che mette a confronto, in punto all’interpretazione del contratto, il sistema italiano e il sistema francese risultante dalla recente riforma delle obbligazioni.

L’interpretazione è la prima operazione che va compiuta allorché si analizza il contratto, e consiste, in via principale ed in prima battuta, nella ricostruzione della volontà delle parti, cioè nell’individuazione del significato che le parti volevano attribuire alle dichiarazioni che hanno scambiato. L’interpretazione del contratto, dunque, è attività logicamente precedente a qualunque ulteriore operazione giuridica da svolgere su di esso, quali la qualificazione o l’individuazione di cause di invalidità. Il nostro ordinamento regolamenta l’attività interpretativa con gli artt. 1362-1371 c.c., a cui si aggiungono poche norme speciali, soprattutto in tema di diritto dei consumi. Il modo in cui tali norme vengono lette è cambiato profondamente in tempi recentissimi. L’opera vuole mettere in luce tali cambiamenti, sottolineandone i legami con le principali linee di tendenza che stanno attraversando il diritto dei contratti.
