Bodo Schmidt-Schmiedebach untersucht, ob die Übertragung und Einbettung des Comply-or-Explain-Mechanismus des Deutschen Corporate Governance Kodex (DCGK) in das deutsche Stiftungsrecht eine zweckmäßige Regulierungsoption zur Kompensation des Schutzdefizits der Stiftung ist. Basierend auf einem Vergleich mit dem Regelungsregime der börsennotierten Aktiengesellschaft setzt sich der Autor kritisch mit dem Mechanismus nach § 161 AktG auseinander und entwickelt Ansätze zu dessen umfassender Optimierung. Im Zuge einer Anpassung an die rechtlichen und tatsächlichen Besonderheiten sowohl der Stiftung als auch des Nonprofit-Sektors entwirft er einen Foundation Governance Kodex-Mechanismus und beleuchtet dabei eingehend die Rollenverteilung zwischen Staat und Stiftungssektor sowie die jeweils erforderlichen Durchsetzungsmechanismen.

Studienarbeit aus dem Jahr 2005 im Fachbereich BWL - Allgemeines, Note: 1,3, Universität Trier (Universität), Veranstaltung: Banksoziologie, Sprache: Deutsch, Abstract: In der letzten Zeit vermehren sich in den Medien immer häufiger Diskussionen rund um das Thema „Corporate Governance.“ Es gibt viele verschiedene Meinungen über wirksame Maßnahmen und Gesetzesgrundlagen, die Bilanzmanipulationen oder Finanzskandale verhindern könnten und eine moralisch vertretbare Unternehmensführung garantieren.. Diese Arbeit beginnt mit einer Einführung in das Thema, zeigt die historische Entwicklung in Deutschland, der USA und in der EU und erläutert den deutschen Corporate-Governance-Kodex. Anschließend werden die Verflechtungen zwischen Banken und Aufsichtsräten von großen Unternehmen beschrieben und die Folgen am Fall der Philipp Holzmann AG aufgezeigt. Der nächste Abschnitt behandelt in diesem Zusammenhang die Aspekte „Risiko“ und „Vertrauen“ und geht speziell auf die sog. „Chinese Walls“ ein. Im weiteren Verlauf erfolgt eine empirische Untersuchung, in wie weit sich die DAX-30-Unternehmen an die gesetzlichen Regelungen und Grundsätze der Corporate Governance halten. Der letzte Teil beinhaltet die aktuelle Entwicklung der Deutsche Börse AG und zeigt, wie sich die Machtverhältnisse innerhalb eines Unternehmens in den letzten Jahren gewandelt haben.
