Der Inhalt: Unternehmen haben im letzten Jahrhundert eine herausragende Bedeutung für die soziale Wirklichkeit erlangt: Sie sind global player, corporate citizen und zunehmend Adressat gesellschaftlicher Erwartungen. Die Attribution strafrechtlicher Verantwortung für Rechts(guts)verletzungen, die im Zusammenhang mit der Unternehmenstätigkeit stehen, scheint vielen der nächste logische Schritt zu sein. Dieser Schritt hin zu einer Unternehmensstrafe ist jedoch voraussetzungsreicher, als es die internationale Präferenz oder die gesetzgeberische Freiheit vermuten lassen. Die Autorin geht der Frage nach, was genau unter Unternehmenskriminalität zu verstehen ist, welches interpretatorische Konstrukt des Unternehmens überzeugt und inwieweit die Phänomenologie des Problems überhaupt für eine normative Entscheidung von Bedeutung ist. Sie entwirft das Unternehmen als primitiv intentionalen, korporativen Akteur, der Krimineller sui generis, aber nicht Strafrechtsperson sui generis sein kann und plädiert nach Analyse der Rechtslage de lege lata für die Einführung eines parastrafrechtlichen Systems.

Die geplante Einführung eines Verbandssanktionengesetzes hat neuen Zündstoff in der Jahrzehnte zurückreichenden Diskussion um die Schaffung eines Unternehmensstrafrechts in Deutschland geliefert. Im Kern berufen sich Verfechter der Ablehnung einer solchen Strafbarkeit auf den Grundsatz "societas delinquere non potest". Hier setzt die Dissertation mit dem Titel "Das strukturelle Integritätsmissmanagement als Verbandsschuld" an: Ost schafft mit dem strukturellen Integritätsmissmanagement und dessen Dogmatik einen neuen Parameter zur Bestimmung der Verbandsschuld. Sie zeigt auf, dass das Zusammenführen präventiver Compliance-Aspekte und klassischer Zurechnungsstrukturen den Maßstab für die Begründung einer originären Verbandsschuld bildet. "Societas delinquere potest"! Eingebettet sind diese Überlegungen in Forschungen zum Entwurf eines Verbandssanktionengesetzes, der die Einführung einer neuen (dritten) Sanktionsspur, dem Verbandssanktionenrecht, zum Gegenstand hat.

This book presents the results of an international comparative study on the causes of rule deviation in business and medical organizations. Based on document and interview analyses as well as experiments, the discrepancy between (state) regulations and organizational practice is elaborated and discussed in an interdisciplinary perspective. On the basis of the distinction between organizational and individual deviance, it could be shown across national boundaries that the unwritten rules of the organization make a decisive contribution in explaining organizational wrongdoing, as well as their containment. Implications for effective prevention derived from this are also pointed out.

Every managerial decision is risky, at least to some extent. Excessive risk, however, can be very detrimental as was starkly illustrated by the most recent financial crisis. By criminalising managers' excessive risk-taking criminal law enters a sphere which is at the core of the activity it affects. At the same time it provides for criminal punishment for courses of conduct that, without doubt, can be extremely harmful. The objective of this book is to examine existing criminalisation of excessive risk-taking as well as to analyse whether such criminalisation is desirable and if yes, under which conditions.
